Comprehensive 10-Step Guide to Form an Alabama LLC
From the name search to your first annual report, in the order you will do them.
Step 1 — Choose a compliant Alabama LLC name
Your Alabama LLC name must include "Limited Liability Company" or an abbreviation such as "LLC" or "L.L.C.". It must be distinguishable from every other name, reservation and registered trade name on file with the Secretary of State, and you must reserve the name before you file the Certificate of Formation. Check that your name is available with the free Alabama Secretary of State business name search before you file.
Name reservation: for $25 ($27.75 filed online); the reservation is mandatory before formation and the certificate must be attached to your Certificate of Formation
Step 2 — Select a registered agent in Alabama
Every Alabama LLC must name a registered agent to receive legal papers and state mail. Your registered agent needs a physical street address in Alabama; a P.O. box is not accepted. Only one agent may be named, and the agent must consent to serve. LLC Register's Alabama registered agent service is $99 a year and includes LLC formation and annual report filing.
Required by the Alabama Limited Liability Company Law of 2014, Code of Alabama 1975, Title 10A, Chapter 5A
Step 3 — Decide how the Alabama LLC will be managed
Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Certificate of Formation and set the details in your operating agreement.
Member-managed or manager-managed
Step 4 — File the Certificate of Formation with the Alabama Secretary of State
Submit the Certificate of Formation and pay the $200 state filing fee. You can file online through Alabama Interactive, or by mailing the paper Certificate of Formation to the Secretary of State. Online filings are approved immediately. Mailed paper filings are processed in the order received, and the state publishes no turnaround time for them. We prepare and file it for you.

Step 5 — Create an LLC operating agreement
Alabama does not require an LLC operating agreement, and you never file one with the state. The Certificate of Formation is the only mandatory formation document. Ours is included and ready to sign.

Step 6 — Obtain an EIN or FTIN
Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.
Free from the IRS · Form SS-4
Step 7 — Open a business banking account
Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Certificate of Formation, your EIN and your operating agreement.
