Foreign qualification
Registering an LLC formed in another state so it can do business in Kentucky, through the Certificate of Authorization for Foreign Business Entity (Form FBE).
Franchise tax
A state tax some states charge for the privilege of doing business there. Kentucky charges every LLC a Limited Liability Entity Tax (LLET) of at least $175 a year, even with no profit. The rate increases once Kentucky gross receipts or gross profits pass $3,000,000, and the full rate of 0.095% of gross receipts or 0.75% of gross profits (whichever is less) applies once they reach $6,000,000.

Limited liability
The legal protection that keeps the owners' personal assets separate from the LLC's debts and lawsuits.
Manager-managed LLC
An LLC run by appointed managers rather than by all of its members.
Member
An owner of an LLC. An LLC can have one member or many, and members can be people or companies.
Member-managed LLC
An LLC run directly by its owners, the members.
Operating agreement
The internal contract that sets out an LLC's ownership, voting, profits and what happens when a member leaves.
Pass-through taxation
The default federal tax treatment of an LLC: profits pass to the owners' personal returns instead of being taxed at the company level.
Professional LLC (PLLC)
An LLC for licensed professionals such as doctors, lawyers or accountants. Available in Kentucky.
Registered agent
The person or company with a physical Kentucky address named to receive legal papers and state mail for the LLC.
S corporation election
A federal tax election, made on IRS Form 2553, that lets an eligible LLC be taxed as an S corporation.
Series LLC
An LLC divided into separate series, each with its own assets and liabilities. Not provided for in Kentucky law.
Single-member LLC
An LLC with one owner. By default the IRS taxes it like a sole proprietorship.
