Comprehensive 10-Step Guide to Form a Maryland LLC
From the name search to your first annual report, in the order you will do them.
Step 1 — Choose a compliant Maryland LLC name
Your Maryland LLC name must include "limited liability company", "LLC", "L.L.C.", "LC" or "L.C." (a benefit LLC adds "benefit"), and must be distinguishable on SDAT's records from every other entity, reserved or registered name. Check that your name is available with the free Maryland State Department of Assessments and Taxation (SDAT) business name search before you file.
Name reservation: for $25; the reservation lasts 30 days (an expedited reservation costs $20 more)
Step 2 — Select a registered agent in Maryland
Every Maryland LLC must name a registered agent to receive legal papers and state mail. Maryland calls this role the resident agent. Yours must be an adult Maryland citizen, or a Maryland corporation, LLC, LP or LLLP, and must sign the Articles of Organization to consent to serve. LLC Register's Maryland registered agent service is $99 a year and includes LLC formation and annual report filing.
Required by the Maryland Limited Liability Company Act, Corporations and Associations Article, Title 4A, Annotated Code of Maryland
Step 3 — Decide how the Maryland LLC will be managed
Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.
Member-managed or manager-managed
Step 4 — File the Articles of Organization with the Maryland State Department of Assessments and Taxation (SDAT)
Submit the Articles of Organization and pay the $100 state filing fee. You can file online through Maryland Business Express, or by mail with the paper Articles of Organization. Standard review takes 6 to 8 weeks. Expedited filing is available for $50 extra within 7 to 10 business days, or same-day service for $325 online ($425 for documents delivered to SDAT). We prepare and file it for you.
State fee: $100 · File online: Maryland Business Express
Step 5 — Create an LLC operating agreement
Maryland does not require an operating agreement to be adopted or filed, though the LLC Act is built to give maximum effect to whatever agreement you write. Ours is included and ready to sign.

Step 6 — Obtain an EIN or FTIN
Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.
Free from the IRS · Form SS-4
Step 7 — Open a business banking account
Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
Bring your formation document, EIN and operating agreement
Step 8 — Register for Maryland taxes, permits and licenses
If you sell taxable goods or services, register for a Sales and Use Tax License with the Comptroller of Maryland through the Combined Registration Application; the general rate is 6%. Before you hire, register for employer withholding with the Comptroller of Maryland and for an unemployment insurance account with the Department of Labor's Division of Unemployment Insurance. Check with your city and county for local business licenses.
Tax agency: Comptroller of Maryland
Step 9 — Consider other LLC documents
Such as a banking resolution, a Certificate of Status ($20), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a Trade Name Registration.
Certificate: $20 · DBA: $25
Step 10 — Set reminders for annual compliance
Maryland requires the Annual Report and Business Personal Property Return (Form 1) every year. It is due by April 15 every year (a 60-day extension to June 15 can be requested online by April 15). The first one is due by April 15 of the year after you form your LLC, even if it had no revenue that year. We track the deadline and file it on time while your agent service is active.

Legal Requirements to Start a Maryland LLC
What Maryland law requires of every LLC, with the rule and the agency that enforces it.
A distinguishable LLC name
Your Maryland LLC name must include "limited liability company", "LLC", "L.L.C.", "LC" or "L.C." (a benefit LLC adds "benefit"), and must be distinguishable on SDAT's records from every other entity, reserved or registered name. Search the name for free with the Maryland business name search before you file. You can reserve a name for $25; the reservation lasts 30 days (an expedited reservation costs $20 more). The rules come from the Maryland Limited Liability Company Act, Corporations and Associations Article, Title 4A, Annotated Code of Maryland.
A Maryland registered agent
Every Maryland LLC must appoint and keep a registered agent in Maryland. Maryland calls this role the resident agent. Yours must be an adult Maryland citizen, or a Maryland corporation, LLC, LP or LLLP, and must sign the Articles of Organization to consent to serve. To change agents, file the Resolution to Change Principal Office or Resident Agent ($25). LLC Register's Maryland registered agent service is $99 a year and includes LLC formation and annual report filing.
The Articles of Organization
Your LLC exists once the Maryland State Department of Assessments and Taxation (SDAT) accepts your Articles of Organization and the $100 filing fee. You can file online through Maryland Business Express, or by mail with the paper Articles of Organization. Standard review takes 6 to 8 weeks. Expedited filing is available for $50 extra within 7 to 10 business days, or same-day service for $325 online ($425 for documents delivered to SDAT).
An operating agreement
Maryland does not require an operating agreement to be adopted or filed, though the LLC Act is built to give maximum effect to whatever agreement you write. Even where it is optional, a written operating agreement sets ownership, voting, profit splits and what happens when a member leaves, and banks often ask for one.
Annual Report and Business Personal Property Return (Form 1)
Maryland requires every LLC to file the Annual Report and Business Personal Property Return (Form 1) every year for $300. It is due by April 15 every year (a 60-day extension to June 15 can be requested online by April 15). The first one is due by April 15 of the year after you form your LLC, even if it had no revenue that year. Late filing adds an initial penalty of up to 1/10 of 1% of your county assessment (at least $30), plus 2% of that penalty for every 30 days you remain late; failure to file can forfeit your LLC's right to do business in Maryland.
State taxes and licenses
Maryland has no separate franchise or privilege tax on LLCs. The recurring state charge is the $300 Annual Report and Business Personal Property Return filing fee paid to SDAT every year. Maryland treats an LLC as a pass-through entity by default: members pay Maryland income tax on their shares, and the LLC withholds tax on nonresident members' shares, or may elect to pay the pass-through entity tax for everyone. If you sell taxable goods or services, register for a Sales and Use Tax License with the Comptroller of Maryland through the Combined Registration Application; the general rate is 6%. See the Comptroller of Maryland for registrations.
