Annual report

A recurring filing that keeps your LLC in good standing with the state. In Utah it is the Annual Report, due on the last day of your LLC's anniversary month, the calendar month your Certificate of Organization took effect, and can be filed up to 60 days early.

Articles of Organization

The document filed with the state to create an LLC. Some states call it a Certificate of Formation; in Utah it is the Certificate of Organization.

Assumed name (DBA)

A trade name your LLC uses instead of its legal name. In Utah you file a D.B.A. (Doing Business As) registration.

Banking resolution

A document authorizing who may open and run the LLC's bank accounts.

Certificate of good standing

Proof from the state that your LLC exists and is current on its filings and fees. In Utah it is the Certificate of Existence.

Dissolution

Formally closing an LLC with the state. In Utah you file the Statement of Dissolution / Statement of Termination.

EIN

Employer Identification Number: the nine-digit federal tax ID the IRS issues to a business.

Foreign qualification

Registering an LLC formed in another state so it can do business in Utah, through the Foreign Registration Statement.

Franchise tax

A state tax some states charge for the privilege of doing business there. A default Utah LLC pays no franchise tax. Only an LLC that elects to be taxed federally as a corporation owes Utah's corporate franchise and income tax, a flat 4.45% of Utah taxable income, with a $100 minimum.

Limited liability

Manager-managed LLC

Registered agent

The person or company with a physical Utah address named to receive legal papers and state mail for the LLC.

S corporation election

A federal tax election, made on IRS Form 2553, that lets an eligible LLC be taxed as an S corporation.

Series LLC

An LLC divided into separate series, each with its own assets and liabilities. Allowed in Utah.

Single-member LLC
