Legal Requirements for an Alaska Registered Agent

Every Alaska LLC's registered office must be a street address in Alaska with an Alaska mailing address, not a P.O. box, a virtual address or a mail-holding service, under AS 10.50.055. The registered office may be the same as the LLC's own office.

Under AS 10.50.055, the agent must be either an individual Alaska resident whose business office matches the registered office, or a domestic or foreign corporation authorized to transact business in Alaska. An LLC, limited partnership or LLP cannot act as a registered agent.

Alaska does not use a separate written-consent form. The registered agent is named directly on Form 08-484, the Articles of Organization, or on Form 08-492, the Statement of Change, each signed by the LLC's member or manager currently on record rather than by the agent.

Do I have to name my registered agent on my Articles of Organization, or can I add one later?

You have to name one upfront. Form 08-484, the Articles of Organization, requires the registered agent's name and Alaska address before the Division of Corporations, Business and Professional Licensing will file it — you cannot leave it blank and add an agent afterward.

What is the difference between my registered office and my principal place of business?

Your registered office must be a physical Alaska street address with an Alaska mailing address where your registered agent's business office is located; your principal office is wherever you actually run the business, and under AS 10.50.055 it may be the same place or a different one, including out of state.

Is my registered agent's phone number or email made public?

No. Alaska's public entity record lists only your registered agent's name and registered office address; no phone number or email address is required or published.

Do Alaska nonprofit corporations have to confirm their registered agent on a periodic report?

Yes. Under AS 10.20.620, every domestic and foreign nonprofit corporation must file a Biennial Report, due by July 2, that lists the corporation's current registered agent and registered office as of June 30 of the reporting year.

Can my registered agent also be an officer or manager of my company?

Yes. Nothing in AS 10.50.055 prevents an owner, manager or officer from also serving as the LLC's registered agent, as long as their business office matches the registered office.

Does Alaska require registered agents to be licensed or bonded?

No. Alaska has no separate licensing or bonding requirement for registered agents beyond the residency, or corporate-authorization, and business-office rules already in AS 10.50.055.

Can I serve as my own registered agent if I live out of state but own property in Alaska?
