Comprehensive 10-Step Guide to Hire a Registered Agent in Arkansas
From checking the requirement to renewing every year, in the order you will do them.
Step 1 — Confirm you need an Arkansas registered agent
Every Arkansas LLC, corporation, limited partnership and limited liability partnership must designate and maintain a registered agent under the Model Registered Agents Act, applied to LLCs by Arkansas Code § 4-38-115. The agent is named on your formation document and stays on the state's public record.
Step 2 — Decide between being your own agent or hiring a service
You can serve as your own agent if your business office is the same as the registered office and sits at a street address in Arkansas; most owners hire a service instead to keep that address off the public record and never miss a delivery.
Step 3 — Check the registered office address rule
The registered office must be an actual street address, or rural route box number, in Arkansas under Ark. Code § 4-20-104; a P.O. box alone, a mail drop or a virtual office without a staffed business office does not qualify.
Step 4 — Choose an Arkansas registered agent service
Compare the annual price, whether mail is scanned the same day it arrives, and whether the state's no-fee change filing is included before you sign up.
Step 5 — Sign up and provide your entity details
Give your legal entity name, entity type and Arkansas filing number, if you already have one, so the agent can be listed correctly.
Step 6 — Let the agent's consent be affirmed on your filing
Under Ark. Code § 4-20-105(b), naming a registered agent on a filing is itself an affirmation by the entity that the agent has consented to serve; Arkansas does not require a separate consent form to be filed with the Secretary of State.
Step 7 — List your registered agent on your formation document
A new LLC names its registered agent and registered office directly on Form LL-01, the Certificate of Organization, filed with the Arkansas Secretary of State for $45 online or $50 by mail.
Step 8 — File a Notice of Change if you already have an entity
Existing LLCs switch agents by filing Form DO-03, the Notice of Change of Registered Agent, with the Arkansas Secretary of State at no filing fee.
Step 9 — Confirm the change on the public record
Use the Arkansas Secretary of State's business entity search to confirm your new registered agent is listed before your next Annual LLC Franchise Tax Report is due.
Step 10 — Keep your registered agent active every year
Arkansas can administratively dissolve an entity that goes without a registered agent for 60 consecutive days and then does not cure the problem within 60 days of the Secretary of State's notice (Ark. Code §§ 4-38-708–4-38-709), so renew your agent service before it lapses.

Legal Requirements for an Arkansas Registered Agent
What Arkansas law requires of every registered agent, with the rule and the agency that enforces it.
A physical Arkansas street address
Every Arkansas entity's registered office must be an actual street address, or rural route box number, in Arkansas, not a P.O. box alone or an unstaffed mail drop, under Arkansas Code § 4-20-104. The agent's business office must be at that same address.
Who can serve as your agent
Under Ark. Code § 4-20-106(a), the agent must be either an individual Arkansas resident whose business office is the registered office, or a domestic or foreign entity authorized to transact business in Arkansas whose business office is the registered office.
Consent affirmed on your filing
Under Ark. Code § 4-20-105(b), naming a person or company as registered agent on a filing is itself an affirmation by the entity that the agent has consented to serve. Arkansas does not require a separate signed consent form filed with the Secretary of State.
Accepting and forwarding legal notices
Ark. Code § 4-20-114 limits the agent's job to forwarding any process, notice or demand served on it to the entity at the address the entity most recently supplied. The agent has no authority to act on the entity's behalf beyond that.
Reporting a change of agent
A change in registered agent is reported on Form DO-03, the Notice of Change of Registered Agent, filed with the Arkansas Secretary of State at no charge under Ark. Code § 4-20-108.
Maintaining an agent at all times
If an entity goes without a registered agent in Arkansas for 60 consecutive days, that is grounds for administrative dissolution; the Secretary of State serves notice, and the entity has 60 days to cure before dissolution takes effect under Ark. Code §§ 4-38-708–4-38-709.

Arkansas Registered Agent FAQs
Short questions, direct answers.
What is a registered agent in Arkansas?
A registered agent is the person or company named to receive legal papers and official state mail for an Arkansas entity, at a physical street address in Arkansas called the registered office. It is required by the Model Registered Agents Act, Arkansas Code §§ 4-20-101 et seq.
Do I need a registered agent for my Arkansas LLC or corporation?
Yes. Every Arkansas LLC, corporation, limited partnership and limited liability partnership must designate and continuously maintain a registered agent, for LLCs under Ark. Code § 4-38-115, from the day it files its formation document.
Can I be my own registered agent in Arkansas?
Yes, if your business office is the same as the registered office and is a street address in Arkansas where you can accept deliveries (Ark. Code § 4-20-106(a)). Many owners hire a service instead to keep that address off the public record.
Can I use a P.O. box for my Arkansas registered agent address?
No. Ark. Code § 4-20-104 requires the registered office to be an actual street address, or rural route box number; a P.O. box alone or an unstaffed mail drop does not qualify.
How much does an Arkansas registered agent cost?
LLC Register charges $99 a year. Commercial registered agent services generally range from about $99 to $249 a year, based on published pricing checked 9/30/2026.
How do I change my registered agent in Arkansas?
File Form DO-03, the Notice of Change of Registered Agent, with the Arkansas Secretary of State. There is no filing fee, and it can be filed online or by mail.
What happens if I don't have a registered agent in Arkansas?
Going without a registered agent for 60 consecutive days is grounds for administrative dissolution; the Secretary of State serves notice, and the entity has 60 days to cure before the state dissolves it under Ark. Code §§ 4-38-708–4-38-709.
Does my registered agent need to consent?
Yes, but Arkansas does not require a separate signed form. Under Ark. Code § 4-20-105(b), naming a person or company as registered agent on a filing is itself an affirmation by the entity that the agent has consented to serve.
Can a family member or friend be my Arkansas registered agent?
Yes, as long as they are an Arkansas resident whose business office is the registered office and they are available there to accept delivery, consistent with Ark. Code § 4-20-106(a).
Can an out-of-state company be my Arkansas registered agent?
Only if that company is itself authorized to transact business in Arkansas and its business office is the registered office; an entity not authorized to do business in Arkansas cannot serve as agent under Ark. Code § 4-20-106(a).
How fast will I know if my registered agent receives a lawsuit?
A registered agent must forward any process, notice or demand to the entity's last provided address under Ark. Code § 4-20-114; LLC Register scans and emails it to you the same day we receive it.
Is my registered agent's address public record in Arkansas?
Yes. The registered agent's name and registered office address are part of the entity's public filing with the Arkansas Secretary of State and can be found through the state's business entity search.
Can my registered agent resign?
Yes. A registered agent can file a statement of resignation with the Secretary of State under Ark. Code § 4-20-111, which takes effect on the earlier of the 31st day after filing or the entity's appointment of a new agent.
Do I need to update my registered agent on my annual Arkansas filing?
Yes. The Annual LLC Franchise Tax Report, due May 1 each year to the Arkansas Secretary of State, must show your current registered agent and registered office.
Does every Arkansas entity type need a registered agent?
Yes, for every filing entity: LLCs, corporations, limited partnerships, limited liability partnerships and foreign entities registered with the Arkansas Secretary of State must designate one under the Model Registered Agents Act.
Does a foreign LLC formed in another state need a registered agent to do business in Arkansas?
Yes. A foreign LLC must designate an Arkansas registered agent on Form FL-01, the Certificate of Registration of Foreign LLC, before the Secretary of State will approve it, the same as a domestic LLC under the Model Registered Agents Act.
Does each protected series in an Arkansas series LLC need its own registered agent?
No. Arkansas's Uniform Protected Series Act, Ark. Code § 4-37-101 et seq., requires every protected series to share the same registered agent as its parent Series LLC — a protected series does not appoint a separate agent, though it does file its own $50 Protected Series Designation naming that shared agent.
Does an Arkansas professional LLC (PLLC) need a registered agent?
Yes. A PLLC follows the same registered agent rule as any other Arkansas LLC under § 4-38-115 and names its agent on its Certificate of Organization.
How much notice must my registered agent give before resigning?
Arkansas does not set a fixed advance-notice period for a noncommercial agent's resignation. Under Ark. Code § 4-20-111, the agent files a statement of resignation with the Secretary of State, and it takes effect on the earlier of the 31st day after filing or the entity's appointment of a new agent.
What happens if someone tries to sue my LLC and my registered agent can't be found?
Ark. Code § 4-20-114 requires the agent to forward any process it receives, but once an LLC has gone 60 consecutive days without a valid registered agent, the Secretary of State can move toward administrative dissolution under §§ 4-38-708–4-38-709 rather than the LLC remaining reachable for a lawsuit.
Does an Arkansas nonprofit corporation need a registered agent?
Yes. Under the Arkansas Nonprofit Corporation Act of 1993, Ark. Code § 4-33-501, a domestic nonprofit must continuously maintain a registered office at the same address as its registered agent, who must be an Arkansas resident, or an entity whose office is identical to that registered office.
Does an Arkansas limited partnership need a registered agent?
Yes. Limited partnerships fall under the same Model Registered Agents Act, Ark. Code §§ 4-20-101 et seq., that applies to LLCs and corporations, and must designate and maintain a registered agent at an Arkansas street address.
How do I look up a company's registered agent in Arkansas?
Search the Arkansas business entity database at ark.org/corp-search by entity name; the registered agent's name and registered office address appear on the entity's filing record at no charge.
If I convert my Arkansas LLC into a different entity type, do I need a separate registered agent filing?
No, not if you're keeping the same agent. Under the merger, interest exchange, conversion and domestication provisions of § 4-38-1001 et seq., the conversion filing itself carries the entity's registered agent forward, so a separate Form DO-03 is only needed if you're also switching to a new agent.
Can my registered agent change its own name or address without switching to a new agent?
Yes. Under Ark. Code § 4-20-109, a noncommercial registered agent can file its own statement to change only its name or address — it keeps serving your entity, and it must promptly notify the entity of the change.
Can one person or company serve as the registered agent for more than one Arkansas LLC?
Yes. The Model Registered Agents Act does not limit how many entities a single individual or company can represent as registered agent, as long as each appointment meets the business-office and residency rules of § 4-20-106.
Are registered agent fees tax-deductible?
Yes. The IRS treats an annual registered agent fee as an ordinary and necessary business expense, deductible in the year you pay it.
Can my attorney serve as my Arkansas registered agent?
Yes, as long as your attorney is an Arkansas resident, or practices through an entity authorized to transact business in Arkansas, whose business office is the registered office — the same eligibility rule under § 4-20-106(a) that applies to anyone else.
Is there a difference between a "registered agent" and an "agent for service of process"?
No. Arkansas's Model Registered Agents Act uses the term "registered agent," and "agent for service of process" describes the same role in plain language — some other states' statutes use that phrase directly instead.
What happens if mail sent to my registered agent's address is returned as undeliverable?
Arkansas treats that the same as having no valid registered agent: once the entity has gone 60 consecutive days without one, the Secretary of State can serve notice and move toward administrative dissolution under §§ 4-38-708–4-38-709 if the problem isn't cured within 60 days.
Do I have to name my registered agent on my Certificate of Organization, or can I add one later?
You have to name one upfront. Form LL-01, the Certificate of Organization, requires the registered agent's name and Arkansas street address before the Secretary of State will file it — you cannot leave it blank and add an agent afterward.
What is the difference between my registered office and my principal place of business?
Your registered office is specifically the Arkansas street address where your registered agent's business office is located; your principal office is wherever you actually run the business and does not have to be in Arkansas at all.
Can a UPS Store or other commercial mail-receiving service be my registered office address?
No. Ark. Code § 4-20-104 requires an actual street address, or rural route box number, and an unstaffed mail drop or commercial mail-receiving service does not meet that rule any more than a P.O. box alone does.
Is my registered agent's phone number or email made public?
No. Arkansas's business entity search lists only your registered agent's name and registered office address; no phone number or email address is required or published.
Do Arkansas nonprofit corporations have to confirm their registered agent on a periodic report?
No separate periodic report exists for nonprofits' registered agent specifically. Arkansas nonprofits update their registered agent the same way any other entity does, by filing Form DO-03 with the Secretary of State at no charge whenever it changes.
Can my registered agent also be an officer or manager of my company?
Yes. Nothing in § 4-20-106 prevents an owner, manager or officer from also serving as the entity's registered agent, as long as their business office matches the registered office.
Does Arkansas require registered agents to be licensed or bonded?
No license or bond is required. Arkansas does let a business register as a "commercial registered agent" under § 4-20-106, a listing status rather than a license, which lets it be named without filing a separate address for every entity it represents.
Can I serve as my own registered agent if I live out of state but own property in Arkansas?
No. § 4-20-106(a) requires an individual registered agent's business office to be the registered office itself; owning Arkansas real estate does not meet that requirement if you personally live and work elsewhere.
Does my registered agent have authority to sign contracts or make decisions for my LLC?
No. Ark. Code § 4-20-114 limits a registered agent's role to being forwarded process, notices and demands on the entity's behalf — it has no authority to sign contracts or otherwise act for the entity.
Can the same Arkansas address serve as both my registered office and my principal place of business?
Yes. Nothing requires the two to be different — a small business commonly uses one Arkansas street address for both, as long as it meets the registered office's physical-address rule.
