Comprehensive 10-Step Guide to Hire a Registered Agent in Indiana

From checking the requirement to renewing every year, in the order you will do them.

  1. 01

Step 1 — Confirm you need an Indiana registered agent

Every Indiana LLC, corporation and other domestic filing entity must designate and maintain a registered agent under Indiana Code § 23-0.5-4-1. The agent is named on your formation filing and stays on the state's public record.

  2. 02

Step 2 — Decide between being your own agent or hiring a service

You can serve as your own agent if you have an Indiana street address and can be there during business hours; Indiana does not require the agent to live in the state, only to keep an Indiana street address on file (IC 23-0.5-4-2). Most owners hire a service instead to keep that address off the public record and never miss a delivery.

  3. 03

Step 3 — Check the registered office address rule

Any address this chapter requires must be a street address in Indiana, not a P.O. box, under IC 23-0.5-4-2, and someone must be able to accept delivery there during normal business hours.

  4. 04

Step 4 — Choose an Indiana registered agent service

Compare the annual price, whether mail is scanned the same day it arrives, and whether a Registered Agent or Office Statement of Change is included before you sign up — Indiana itself does not charge a fee for that filing.

  5. 05

Step 5 — Sign up and provide your entity details

Give your legal entity name, entity type and INBiz filing number, if you already have one, so the agent can be listed correctly.

  6. 06

Step 6 — Get the agent's consent on file

Under IC 23-0.5-4-3(b), the filing that designates your registered agent must include the agent's consent, or a representation that the agent has consented — Indiana folds this into the designation itself rather than a separate consent form.

  7. 07

Step 7 — List your registered agent on your formation document

A new LLC names its registered agent and registered office directly on its Articles of Organization, filed with the Indiana Secretary of State for $75 online or $100 by mail (IC 23-0.5-9-19).

  8. 08

Step 8 — File a Statement of Change if you already have an entity

Existing LLCs switch agents by filing a Registered Agent or Office Statement of Change through INBiz; Indiana charges no state fee for this filing (IC 23-0.5-9-32).

  9. 09

Step 9 — Confirm the change on the public record

Use the Secretary of State's Business Search on INBiz to confirm your new registered agent is listed before your next Business Entity Report is due.

  10. 10

Step 10 — Keep your registered agent active every two years

Indiana can administratively dissolve an entity that goes 60 consecutive days without a registered agent, after a 60-day written cure notice (IC 23-0.5-6-1, IC 23-0.5-6-2), so renew your agent service before it lapses.

Legal Requirements for an Indiana Registered Agent

What Indiana law requires of every registered agent, with the rule and the agency that enforces it.

Address

A street address in Indiana

Any address this chapter requires must be a street address in Indiana, not a P.O. box, under IC 23-0.5-4-2. Someone must be able to accept delivery there during normal business hours.

Eligibility

Who can serve as your agent

Under IC 23-0.5-4-3(a), the agent must be an individual, a general partnership, a domestic filing entity, or a registered foreign entity. Indiana does not require an individual agent to reside in the state, only to keep an Indiana street address on file.

Consent

Consent to serve

Under IC 23-0.5-4-3(b), the filing that designates a registered agent must include the agent's consent, or a representation that the agent has consented. Indiana folds this consent into the designation itself rather than a separate form.

Duties

Accepting and forwarding legal notices

IC 23-0.5-4-11 limits the agent's job to forwarding process, notices and demands addressed to the entity to the entity's most recently supplied address, and keeping the agent's own filed information current. The agent has no authority to act on the entity's behalf beyond that.

Change filing

Reporting a change of agent

A change in registered agent or registered office is reported on a Registered Agent or Office Statement of Change, filed through INBiz with the Indiana Secretary of State; Indiana charges no state fee for this filing (IC 23-0.5-9-32).

Compliance

Maintaining an agent at all times

If an entity goes without a registered agent in Indiana for 60 consecutive days, or fails to report a change within 60 days, the Secretary of State may pursue administrative dissolution (IC 23-0.5-6-1); the entity then has 60 days after written notice to cure it before dissolution takes effect (IC 23-0.5-6-2).

Indiana Registered Agent FAQs

Short questions, direct answers.

Get an Indiana Registered AgentContact us

What is a registered agent in Indiana?

A registered agent is the person or company named to receive legal papers and official state notices for an Indiana entity, at a street address in Indiana called the registered office. It is required by Indiana Code § 23-0.5-4-1.

Do I need a registered agent for my Indiana LLC or corporation?

Yes. Every Indiana LLC, corporation and other domestic filing entity must designate and maintain a registered agent under IC 23-0.5-4-1, from the day it files its formation document.

Can I be my own registered agent in Indiana?

Yes, if you have a street address in Indiana where you can accept deliveries during normal business hours (IC 23-0.5-4-2, IC 23-0.5-4-3(a)). Indiana does not require the agent to live in the state. Many owners hire a service instead to keep that address off the public record.

Can I use a P.O. box for my Indiana registered agent address?

No. IC 23-0.5-4-2 requires a street address in Indiana for anything this chapter requires an address for; a P.O. box does not qualify.

How much does an Indiana registered agent cost?

LLC Register charges $99 a year. Commercial registered agent services generally range from about $99 to $249 a year, based on published pricing checked 9/30/2026.

How do I change my registered agent in Indiana?

File a Registered Agent or Office Statement of Change through INBiz with the Indiana Secretary of State. Indiana charges no state fee for this filing (IC 23-0.5-9-32).

What happens if I don't have a registered agent in Indiana?

The Secretary of State may pursue administrative dissolution once an entity has gone 60 consecutive days without a registered agent, giving 60 days' written notice to cure it before dissolution takes effect (IC 23-0.5-6-1, IC 23-0.5-6-2).

Does my registered agent need to consent to serve?

Yes. Under IC 23-0.5-4-3(b), the filing that designates a registered agent must include the agent's consent, or a representation that the agent has consented. Indiana builds this into the designation itself rather than a standalone consent form.

Can a family member or friend be my Indiana registered agent?

Yes, as long as they have a street address in Indiana, are available during business hours, and their consent is represented on the filing under IC 23-0.5-4-3.

Can an out-of-state company be my Indiana registered agent?

A business entity acting as agent must be a domestic filing entity or a registered foreign entity authorized to do business in Indiana; an individual agent, however, does not need to live in Indiana at all (IC 23-0.5-4-3(a)).

How fast will I know if my registered agent receives a lawsuit?

A registered agent's only duty under IC 23-0.5-4-11 is to forward any process, notice or demand to the entity's most recently supplied address; LLC Register scans and emails it to you the same day we receive it.

Is my registered agent's address public record in Indiana?

Yes. The registered agent's name and registered office address are part of the entity's filing with the Indiana Secretary of State and appear on the state's public Business Search.

Can my registered agent resign?

Yes. A registered agent can resign under IC 23-0.5-4-9, which starts the state's process for the entity to name a replacement before facing administrative dissolution.

Do I need to update my registered agent on my Business Entity Report?

Yes. The Business Entity Report, due every two years by the last day of your LLC's anniversary month, must show your current registered agent and registered office.

Does every Indiana entity type need a registered agent?

Yes, for every domestic filing entity and registered foreign entity: LLCs, corporations and most other entities registered with the Indiana Secretary of State must designate one under IC 23-0.5-4-1.

Does a foreign LLC formed in another state need a registered agent to do business in Indiana?

Yes. A foreign LLC must name an Indiana registered agent on its Foreign Registration Statement, filed with the Secretary of State for $75 online or $125 by mail under IC 23-0.5-9-26, before it may transact business in Indiana.

Does each protected series in an Indiana series LLC need its own registered agent?

No. Indiana's Series LLC Act, IC 23-18.1, enacted in 2016, organizes a protected series under its umbrella LLC rather than as a separately filed entity, so the registered agent designated for the LLC itself continues to cover every protected series within it.

Does an Indiana professional LLC (PLLC) need a registered agent?

Yes. A professional LLC follows the same registered agent rule as any other Indiana LLC under IC 23-0.5-4-1 — there is no separate requirement for professional entities.

What is the difference between a commercial and a noncommercial registered agent in Indiana?

A commercial registered agent files a listing statement with the Secretary of State under IC 23-0.5-4-4 so it can be designated on many entities' filings by name alone, while a noncommercial registered agent is not listed that way and must have its registered office address stated directly on each entity's own filing.

Does an Indiana nonprofit corporation need a registered agent?

Yes. A domestic nonprofit corporation is a domestic filing entity under IC 23-0.5-4-1, so it must designate and continuously maintain a registered agent with an Indiana street address the same as a for-profit corporation.

Does an Indiana limited partnership need a registered agent?

Yes. A domestic limited partnership is a domestic filing entity under IC 23-0.5-4-1, so it must designate and maintain a registered agent with an Indiana street address the same as an LLC or corporation.

How do I look up a company's registered agent in Indiana?

Search the Indiana Secretary of State's public Business Search through INBiz by entity name; the entity's record shows its current registered agent name and registered office address.

Can one person or company serve as the registered agent for more than one Indiana entity?

Yes. Once listed as a commercial registered agent under IC 23-0.5-4-4, a single individual or company can be designated on an unlimited number of Indiana entities' filings.

Are registered agent fees tax-deductible?

Yes. The IRS treats an annual registered agent fee as an ordinary and necessary business expense, deductible in the year you pay it.

Can my attorney serve as my Indiana registered agent?

Yes. An attorney can serve as an individual registered agent as long as the designation includes a street address in Indiana where deliveries can be accepted during business hours, the same requirement under IC 23-0.5-4-2 and IC 23-0.5-4-3 that applies to anyone else.

Is there a difference between a "registered agent" and an "agent for service of process" in Indiana?

No. IC 23-0.5-4-1 uses only the term "registered agent"; "agent for service of process" is other states' or plain-language phrasing describing the identical role.

What happens if mail sent to my registered agent's address is returned as undeliverable?

It puts your entity at the same risk as having no registered agent at all. The Secretary of State can begin the 60-day cure notice that leads to administrative dissolution under IC 23-0.5-6-1 and IC 23-0.5-6-2 once it cannot confirm your entity has a working registered agent.

Do I have to name my registered agent when I form my Indiana LLC, or can I add one later?

You have to name one upfront. The Articles of Organization, filed under IC 23-0.5-9-19 for $75 online or $100 by mail, requires the registered agent's name and Indiana street address before the Secretary of State will accept it — you cannot leave it blank and add an agent afterward.

What is the difference between my registered office and my principal place of business?

Your registered office is specifically where your registered agent accepts legal mail and must be a street address in Indiana under IC 23-0.5-4-2; your principal office is wherever you actually run the business and does not have to be in Indiana at all.

Can a UPS Store or other commercial mail-receiving service be my registered office address?

No. IC 23-0.5-4-2 requires a street address for anything the chapter requires an address for, and the Secretary of State treats a commercial mail-receiving service or mailbox rental the same as a P.O. box — neither qualifies.

Is my registered agent's phone number or email made public?

No. Indiana's public filings list only your registered agent's name and street address; no phone number or email address is required or published.

Do Indiana nonprofit corporations have to confirm their registered agent on a recurring filing?

Yes. The Business Entity Report, due every two years by the last day of the entity's anniversary month under IC 23-0.5-9-34, must show a nonprofit corporation's current registered agent the same as any other entity.

Can my registered agent also be an officer or manager of my company?

Yes. Nothing in IC 23-0.5-4-1 prevents an owner, manager or officer from also serving as the entity's registered agent, as long as the designation meets the street-address requirement.

Does Indiana require registered agents to be licensed or bonded?

No individual license or bond is required, but a company that wants to serve as a commercial registered agent for multiple entities must first file a listing statement with the Secretary of State under IC 23-0.5-4-4.

Can I serve as my own registered agent if I live out of state?

Only if you still maintain a street address in Indiana where you can personally accept deliveries during business hours. Indiana is unusual in that IC 23-0.5-4-3(a) does not require an individual registered agent to reside in the state — but it still requires the Indiana address itself, which most truly out-of-state owners do not have.

Does my registered agent have authority to sign contracts or make decisions for my LLC?

No. IC 23-0.5-4-11 limits a registered agent's duty to forwarding process, notices and demands to the entity's most recently supplied address — it has no authority to sign contracts or act on the entity's behalf.

Can the same Indiana address serve as both my registered office and my principal place of business?

Yes. Nothing requires the two to be different — a small business commonly uses one Indiana street address for both, as long as it meets the registered office's address and business-hours-availability rule.

Can my registered agent change its own name or address without switching to a new agent?

Yes, through a different filing depending on agent type. A noncommercial registered agent updates its own information under IC 23-0.5-4-7, while a commercial registered agent updates every entity it represents at once under IC 23-0.5-4-8.

Does switching registered agents require amending my Indiana Articles of Organization?

No. A change of registered agent or registered office is reported on a Registered Agent or Office Statement of Change through INBiz under IC 23-0.5-9-32, filed separately from any amendment to the Articles of Organization, and Indiana charges no state fee for it.

Does my Indiana LLC still need a registered agent after it dissolves?

Yes, during wind-up. A dissolved LLC continues to exist to wind up its affairs and must keep a registered agent on file so it can still receive legal notices, consistent with the maintenance requirement in IC 23-0.5-4-1 and the cure process in IC 23-0.5-6-1 and IC 23-0.5-6-2.
