Does every Kansas entity type need a registered agent?

Does a foreign LLC formed in another state need a resident agent to do business in Kansas?

Yes. A foreign LLC must designate a Kansas resident agent with a physical Kansas street address on Form FA, the Application for Registration of Foreign Covered Entity, filed with the Kansas Secretary of State for a $165 fee, before it may transact business in the state.

Does each series in a Kansas series LLC need its own resident agent?

No. A series is formed by filing a certificate of designation under K.S.A. 17-76,143, but it is not itself a separate "covered entity" for resident agent purposes — the resident agent designated for the parent LLC under K.S.A. 17-7925 continues to serve the LLC and every series within it.

Does a Kansas professional limited liability company (PLLC) need a resident agent?

Yes. A PLLC follows the same resident agent rule as any other Kansas LLC and must name its resident agent directly on its Articles of Organization under K.S.A. 17-7673, along with a licensing certificate from each profession's regulatory board.

Can my resident agent resign without naming a successor?

Yes. A resident agent can file Form RAN, the Certificate of Resignation of the Resident Agent without Appointing a Successor, with the Kansas Secretary of State — a different filing from the successor-naming resignation process under K.S.A. 17-7928.

What happens if someone tries to sue my Kansas LLC and the resident agent can't be found?

The Kansas Secretary of State can accept service on the entity's behalf. Under K.S.A. 60-304(f), once a process server has attempted service at the resident agent's address on file — or the entity has no active resident agent at all — they may instead serve the Secretary of State for a $50 processing fee, who forwards the papers to the entity.

Does a Kansas nonprofit corporation need a resident agent?

Yes. Kansas has no separate nonprofit corporation act — nonprofits incorporate as nonstock corporations under the Kansas General Corporation Code, and K.S.A. 17-6002 requires every corporation's articles of incorporation to state its registered office address and the name of its resident agent, the same as a for-profit corporation.

Does a Kansas general partnership or sole proprietorship need a resident agent?

No. The resident agent requirement in K.S.A. 17-7924 and 17-7925 applies only to "covered entities" that file formation documents with the Secretary of State — corporations, LLCs, limited partnerships, LLPs and business trusts — so a general partnership or sole proprietorship that never files with the state has no resident agent to maintain.

How do I look up a company's resident agent in Kansas?

Search the Kansas Secretary of State's Business Entity Search Station by entity name or business ID number; the result page lists that entity's current resident agent name and registered office address.

If I convert my Kansas LLC into a different entity type, do I need a separate resident agent filing?

No, not if you're keeping the same agent. A certificate of conversion filed under the Kansas Business Entity Transactions Act names the converted entity's resident agent, so a separate Form ROA change filing is needed only if you're also switching to a new agent.

Can my resident agent change its own name or address without switching to a new agent?

Yes. A resident agent can file Form RGO, the Certificate of Amendment to the Resident Agent by the Resident Agent, with the Kansas Secretary of State to update only its own name or address — it keeps serving your entity under the existing designation.

Can one person or company serve as the resident agent for more than one Kansas entity?

Yes. A single individual or resident agent service can be named on any number of Kansas entities at once, as long as each appointment meets the residency (or Kansas-registration) and physical-address rules under K.S.A. 17-7924 and 17-7925.

Are resident agent fees tax-deductible?

Yes. The IRS treats an annual resident agent fee as an ordinary and necessary business expense, deductible in the year you pay it.

Can my attorney serve as my Kansas resident agent?

Yes, as long as your attorney is a Kansas resident, or a law firm organized or registered in Kansas, with a business address identical to the registered office — the same eligibility rule under K.S.A. 17-7925(a) that applies to anyone else.

Is there a difference between a "resident agent" and a "registered agent" in Kansas?

No. Kansas law treats the two terms as interchangeable — K.S.A. 17-7925 confirms that an existing reference to "registered agent" or similar terms in an entity's organizational documents satisfies the resident agent requirement without needing to be amended.

What happens if mail sent to my resident agent's address is returned as undeliverable?

The Secretary of State treats that the same as having no valid resident agent at all: it mails a 30-day notice, and under K.S.A. 17-7926(b) the entity must designate a new resident agent within that window or face forfeiture of its Articles of Organization or, for a foreign entity, revocation of its authority to do business.

Do I have to name my resident agent on my Articles of Organization, or can I add one later?

You have to name one upfront. K.S.A. 17-7673 requires the Articles of Organization to state the resident agent's name and the registered office address before the Secretary of State will file it — you cannot leave it blank and add an agent afterward.

What is the difference between my registered office and my principal place of business?

Your registered office is specifically the Kansas address where your resident agent accepts legal mail, and K.S.A. 17-7924 says it need not be the same as your place of business; any reference to a "principal office" in your own formation documents is legally read as meaning your registered office.

Can a UPS Store or other commercial mail-receiving service be my registered office address?

No. K.S.A. 17-7924(c) requires a street, rural route or highway address with a building or suite number where the resident agent can be reached, and a commercial mail-receiving service or mailbox rental does not meet that rule any more than a P.O. box does.

Is my resident agent's phone number or email made public?

No. Kansas's public filings and Business Entity Search list only your resident agent's name and registered office address; no phone number or email address is required or published.

Does Kansas have any filing that periodically confirms my resident agent besides the biennial Information Report?

No. Kansas has no periodic filing that reconfirms a resident agent — the Information Report doesn't touch it, so the only required update is filing Form ROA whenever your resident agent or registered office actually changes.

Can my resident agent also be an officer or manager of my company?

Yes. Nothing in K.S.A. 17-7925 prevents an owner, manager or officer from also serving as the entity's resident agent, as long as they meet the residency and physical-address requirements.

Does Kansas require resident agents to be licensed or bonded?

No. Kansas has no licensing, bonding or commercial-registered-agent registration requirement beyond the residency (or Kansas-registration) and physical-address rules in K.S.A. 17-7924 and 17-7925.

Can I serve as my own resident agent if I live out of state but own property in Kansas?

No. K.S.A. 17-7925(a) requires an individual resident agent to be a resident of Kansas; owning Kansas real estate does not meet that requirement if you personally live elsewhere.

Does my resident agent have authority to sign contracts or make decisions for my LLC?

No. K.S.A. 17-7925(b) limits a resident agent's role to accepting and forwarding legal notices and process addressed to the entity — it has no authority to sign contracts or act on the entity's behalf.

Can the same Kansas address serve as both my registered office and my principal place of business?

Yes. K.S.A. 17-7924 explicitly allows the registered office to be, but need not be, the same as your place of business — many small businesses use one Kansas address for both.
