Every Massachusetts LLC's resident agent must maintain an office at a street address in Massachusetts, not a P.O. box, under General Laws Chapter 156C, § 5. Someone must be able to accept delivery there during normal business hours.

No. Massachusetts's LLC Act, G.L. c. 156C, has no series LLC provisions — the Act's definitions in § 2 have no "series" concept at all, unlike the statutes in states such as Texas or Delaware — so an owner who wants separate liability shields for different lines of business must form multiple standalone Massachusetts LLCs.

Does a Massachusetts professional LLC (PLLC) need a resident agent?

Yes. Massachusetts doesn't have a separate PLLC statute — a professional LLC instead organizes under the standard LLC Act, with its Certificate of Organization required under G.L. c. 156C, § 6 to name the specific professional services it will render and attach its regulating board's eligibility certificate, and under § 65 to carry professional liability insurance; it otherwise follows the same resident agent requirement as any other Massachusetts LLC.

How does a Massachusetts resident agent resign?

The agent signs and files a certificate of resignation with the Secretary of the Commonwealth under G.L. c. 156C, § 5A, and must furnish the LLC a copy of it; the resignation terminates the agent's appointment on the 31st day after it's filed, regardless of whether the LLC has named a replacement by then.

What happens if a lawsuit needs to be served on my Massachusetts LLC and the resident agent can't be found?

It depends on whether the LLC is foreign or domestic. G.L. c. 156C, § 54 lets a plaintiff serve a foreign LLC — one formed elsewhere and registered to do business in Massachusetts — on the Secretary of the Commonwealth once a diligent search fails to locate its resident agent at the address on file. The Act has no equivalent fallback for a domestic Massachusetts LLC; a plaintiff who can't serve a domestic LLC's resident agent instead has to ask the court for an order allowing an alternate method of service.

Does a Massachusetts nonprofit corporation need a registered agent?

Yes. Nonprofit corporations organized under G.L. c. 180 must maintain a resident agent with a Massachusetts street address, the same baseline requirement that applies to LLCs and business corporations.

Does a Massachusetts limited partnership need a registered agent?

Yes. Limited partnerships formed under the Massachusetts Uniform Limited Partnership Act, G.L. c. 109, must maintain a resident agent and registered office, separate from the general partner who runs the business.

How do I look up a company's resident agent in Massachusetts?

If I convert my Massachusetts LLC into a different entity type, do I need a separate resident agent filing?

Can my attorney serve as my Massachusetts resident agent?

Is there a difference between a "resident agent" and a "registered agent"?

No. Massachusetts's LLC Act uses the term "resident agent"; "registered agent" is simply the term most other states use for the identical role.

What happens if mail sent to my Massachusetts resident agent's address is returned as undeliverable?

It usually means the registered office address on file is no longer accurate, which can cause the LLC to miss its Annual Report notice; an LLC that goes two consecutive years without filing that $500 report risks administrative dissolution under G.L. c. 156C, § 12.

Do I have to name a resident agent when I first form my Massachusetts LLC, or can I add one later?

You have to name one upfront. The Certificate of Organization requires the resident agent's name and Massachusetts street address before the Secretary of the Commonwealth will file it — you cannot leave it blank and add an agent afterward.

What is the difference between my registered office and my principal place of business?

Your registered office is specifically where your resident agent accepts legal mail under G.L. c. 156C, § 5; your principal place of business is wherever you actually run the company and doesn't have to be in Massachusetts at all.

Can a UPS Store or other commercial mail-receiving service be my Massachusetts registered office address?

No. G.L. c. 156C, § 5 requires a physical Massachusetts street address where the agent can actually be reached, the same way it excludes a bare P.O. box — a commercial mail-receiving service or mailbox rental doesn't meet that standard either.

Is my resident agent's phone number or email made public in Massachusetts?

No. Massachusetts's business filings require only the resident agent's name and street address; no phone number or email address is collected or published.

Can my resident agent also be an officer or manager of my Massachusetts company?

Yes. Nothing in G.L. c. 156C, § 5 prevents an owner, manager or officer from also serving as the entity's resident agent, as long as the residency and address requirements are met.

Does Massachusetts require resident agents to be separately licensed or bonded?

No. Massachusetts has no license or bond specific to acting as a resident agent — a commercial service only needs to itself be authorized to do business in Massachusetts, the same eligibility rule that covers any out-of-state entity serving as agent.

Can I serve as my own resident agent if I live out of state but own property in Massachusetts?

No. G.L. c. 156C, § 5 requires an individual resident agent to be a Massachusetts resident; owning Massachusetts real estate does not satisfy that requirement if you personally live and work elsewhere.

Does my resident agent have authority to sign contracts or make decisions for my LLC?

No. A Massachusetts resident agent's statutory role is limited to accepting service of process and official notices on the entity's behalf; it gives the agent no authority to sign contracts or otherwise act for the entity.
