What happens if a lawsuit needs to be served on my Mississippi LLC and the registered agent can't be found?
Mississippi law first treats the entity's governors — its managers or officers — as its agent for service, using the address on the entity's most recent Annual Report; only if they also can't reasonably be served does service on the Secretary of State under the Mississippi Rules of Civil Procedure apply, under Miss. Code Ann. § 79-35-13(b).
Does a Mississippi nonprofit corporation need a registered agent?
Yes. Nonprofit corporations, formed the same way as business corporations under Miss. Code Ann. Title 79, Chapter 11, are "filing entities" under the Mississippi Registered Agents Act and must appoint a registered agent the same as any for-profit corporation or LLC.
Does a Mississippi limited partnership need a registered agent?
