Comprehensive 10-Step Guide to Hire a Registered Agent in Missouri
From checking the requirement to keeping your agent active, in the order you will do them.
Step 1 — Confirm you need a Missouri registered agent
Every Missouri LLC, corporation and limited partnership must maintain a registered agent and registered office under the Missouri Limited Liability Company Act, RSMo § 347.030. The agent is named on your Articles of Organization and stays on the state's public record.
Step 2 — Decide between being your own agent or hiring a service
You can serve as your own agent if your business office is the same address as the registered office and you can accept delivery there during business hours; most owners hire a service instead to keep that address off the public record and never miss a delivery.
Step 3 — Check the registered office address rule
RSMo §§ 347.030 and 347.039 require the registered office's address to include a street and number, so a bare P.O. box does not satisfy it, and someone must be able to accept delivery there during normal business hours.
Step 4 — Choose a Missouri registered agent service
Compare the annual price, whether mail is scanned the same day it arrives, and whether the state's $10 change filing fee is included before you sign up.
Step 5 — Sign up and provide your entity details
Give your legal entity name, entity type and Missouri charter number, if you already have one, so the agent can be listed correctly.
Step 6 — Name your agent — no separate initial consent form
Unlike some states, Missouri does not require a registered agent's written consent before an LLC's initial appointment; the agent is simply named on the Articles of Organization. A successor agent's written consent is required only when you later file a change (RSMo § 347.030.3).
Step 7 — List your registered agent on your formation document
A new LLC names its registered agent and registered office directly on Form LLC-1, the Articles of Organization, filed with the Missouri Secretary of State for $105 by paper or $50 online.
Step 8 — File a Statement of Change if you already have an entity
Existing LLCs switch agents by filing Corp. 59, the Statement of Change of Registered Agent or Registered Office, with a $10 filing fee.
Step 9 — Confirm the change on the public record
Use the Missouri Secretary of State's Business Entity Search to confirm your new registered agent is listed on your entity's record.
Step 10 — Keep your registered agent active at all times
If Missouri cannot locate a valid registered agent, RSMo § 347.033 makes the Secretary of State the LLC's agent by default for receiving legal papers, so renew your agent service before you would ever need to rely on that fallback.

Legal Requirements for a Missouri Registered Agent
What Missouri law requires of every registered agent, with the rule and the agency that enforces it.
A Missouri street address
Every Missouri entity's registered office must be listed with an address that includes a street and number, under RSMo § 347.039. A bare P.O. box does not meet that requirement, and someone must be able to accept delivery there during normal business hours.
Who can serve as your agent
Under RSMo § 347.030.1, the agent must be either an individual whose business office is the same address as the registered office, or a domestic or foreign corporation or other entity authorized to do business in Missouri with a matching business address.
When written consent is required
Missouri does not require a registered agent's written consent before an LLC's initial appointment on its Articles of Organization. A successor agent's written consent is required only when the LLC later files a change of agent, under RSMo § 347.030.3.
Accepting and forwarding legal notices
RSMo § 347.033 makes service on the registered agent lawful personal service on the LLC. If no agent can be located after reasonable effort, the Secretary of State itself becomes the LLC's agent for service and forwards process to the organizer's last known address by registered mail, keeping a copy for five years.
Reporting a change of agent
A change in registered agent or registered office is reported on Corp. 59, the Statement of Change of Registered Agent or Registered Office, filed with the Missouri Secretary of State for $10, and becomes effective when the Secretary files it.
No annual report for LLCs
Missouri does not require limited liability companies to file a recurring annual report; that requirement applies only to corporations, under Chapter 351. An LLC's registered agent record stays current only by filing a change whenever the agent or office actually changes.

Missouri Registered Agent FAQs
Short questions, direct answers.
What is a registered agent in Missouri?
A registered agent is the person or company named to receive legal papers and official state mail for a Missouri entity, at an address called the registered office. It is required by the Missouri Limited Liability Company Act, RSMo § 347.030.
Do I need a registered agent for my Missouri LLC or corporation?
Yes. Every Missouri LLC, corporation and limited partnership must appoint and continuously maintain a registered agent under RSMo § 347.030, from the day it files its formation document.
Can I be my own registered agent in Missouri?
Yes, if your business office is the same address as the registered office and you can accept deliveries there during normal business hours (RSMo § 347.030.1). Many owners hire a service instead to keep that address off the public record.
Can I use a P.O. box for my Missouri registered agent address?
No. RSMo §§ 347.030 and 347.039 require the registered office's address to include a street and number, so a bare P.O. box does not qualify on its own.
How much does a Missouri registered agent cost?
LLC Register charges $99 a year. Commercial registered agent services generally range from about $99 to $249 a year, based on published pricing checked 9/30/2026.
How do I change my registered agent in Missouri?
File Corp. 59, the Statement of Change of Registered Agent or Registered Office, with the Missouri Secretary of State for a $10 fee. The change takes effect once the Secretary of State files it.
What happens if I don't have a registered agent in Missouri?
Missouri does not automatically dissolve an entity for lacking a registered agent. Instead, under RSMo § 347.033, the Secretary of State becomes the LLC's agent for service of process by default and forwards any papers it receives to the organizer's last known address by registered mail.
Does my registered agent need to consent in writing?
Not for the initial appointment — the agent is simply named on the Articles of Organization. Missouri requires written consent only from a successor agent named later in a Statement of Change, under RSMo § 347.030.3.
Can a family member or friend be my Missouri registered agent?
Yes, as long as their business office is the same address as the registered office and they are available to accept delivery during business hours, under RSMo § 347.030.1.
Can an out-of-state company be my Missouri registered agent?
Only if that company is itself authorized to do business in Missouri and maintains a matching Missouri business address; an unauthorized out-of-state entity cannot serve as agent under RSMo § 347.030.1.
How fast will I know if my registered agent receives a lawsuit?
Service on a registered agent is lawful personal service on the LLC under RSMo § 347.033; LLC Register scans and emails it to you the same day we receive it.
Is my registered agent's address public record in Missouri?
Yes. The registered agent's name and registered office address are part of the entity's public filing with the Missouri Secretary of State and appear on the Business Entity Search.
Can my registered agent resign?
Yes. A registered agent can file a resignation with the Secretary of State; the resignation becomes effective 30 days after the LLC receives notice, or sooner if a new agent is appointed first.
Does Missouri require an annual report that updates my registered agent?
No. Missouri does not require limited liability companies to file a recurring annual report — that requirement applies only to corporations under Chapter 351 — so a Missouri LLC updates its registered agent only by filing Corp. 59 when the agent actually changes.
Does every Missouri entity type need a registered agent?
Yes, for every filing entity: LLCs, corporations, limited partnerships and most other entities registered with the Missouri Secretary of State must appoint one under RSMo § 347.030 or the corresponding statute for that entity type.
Does a foreign LLC formed in another state need a registered agent to do business in Missouri?
Yes. RSMo § 347.153 requires a foreign LLC's application for registration to name a Missouri registered agent and registered office subject to the same rules as a domestic LLC under §§ 347.030 and 347.033, along with a certificate of good standing from its home state dated within 60 days of filing.
Does each series in a Missouri series LLC need its own registered agent?
No. Under RSMo § 347.186, the registered agent and registered office the parent LLC appointed under § 347.033 automatically serves as the agent and office for service of process for every series within it.
Does a Missouri professional corporation need a registered agent?
Yes. Missouri licenses certain professions through the Professional Corporation Law, RSMo §§ 356.011–356.261, rather than a separate professional LLC statute, and a professional corporation organized under it must maintain a registered agent and registered office the same as any other Missouri corporation.
How does a Missouri nonprofit corporation's registered agent resign?
The agent files a written notice of resignation in duplicate with the Secretary of State under RSMo § 355.171, and the Secretary of State notifies the corporation's officers at their last known address; the resignation becomes effective 30 days after the Secretary of State receives it.
How is a Missouri corporation served with a lawsuit if its registered agent can't be located?
RSMo § 355.176 allows service by certified mail to the corporation's secretary at the address shown on its most recent corporate registration report; service is complete on the earliest of actual receipt, the return-receipt date, or five days after mailing.
Does a Missouri nonprofit corporation need a registered agent?
Yes. RSMo § 355.161 requires every nonprofit corporation to maintain a registered office and registered agent in Missouri, the same requirement that applies to for-profit corporations.
Does a Missouri limited partnership need a registered agent?
Yes. RSMo § 359.091 requires the certificate of limited partnership to state the address of the registered office and the name of the registered agent at that office, separate from the general partner who manages the business.
How do I look up a company's registered agent in Missouri?
Search the Missouri Secretary of State's Business Entity Search tool by entity name or registered agent name; the current registered agent's name and registered office address appear on the entity's filing detail page at no charge.
If I convert my Missouri partnership or limited partnership into an LLC, do I need a separate registered agent filing?
No separate filing beyond the ordinary articles. RSMo § 347.125 lets a partnership convert by filing articles of organization meeting § 347.039's standard requirements — including naming the registered agent and registered office — so the agent is appointed through that same conversion filing, not a second one.
Can my Missouri registered agent change its own business address without switching to a new agent?
Yes. Under RSMo § 347.030.4, an agent who moves its own business office may change the registered office address for every LLC it represents at once by notifying each company in writing and filing a single statement of change with the Secretary of State.
Can one person or company serve as the registered agent for more than one Missouri LLC?
Yes. RSMo § 347.030 places no limit on how many LLCs a single individual or registered agent company may represent, as long as each appointment meets the residency/authorization and business-office rules.
Are registered agent fees tax-deductible?
Yes. The IRS treats an annual registered agent fee as an ordinary and necessary business expense, deductible in the year you pay it.
Can my attorney serve as my Missouri registered agent?
Yes, as long as your attorney's business office is the same address as the registered office and they can accept delivery there during business hours — the same eligibility rule under RSMo § 347.030.1 that applies to anyone else.
Is there a difference between a "registered agent" and a "statutory agent" or "agent for service of process"?
No. Missouri's LLC Act uses the term "registered agent" throughout RSMo Chapter 347; "statutory agent" and "agent for service of process" describe the same role in other states' statutes.
What happens if mail sent to my Missouri registered agent's address is returned as undeliverable?
For an LLC, the state simply becomes the LLC's default agent for service under RSMo § 347.033 until the record is corrected. For a corporation or nonprofit, an outdated registered agent address that causes a missed corporate registration report under § 355.856 or Chapter 351 can lead to administrative dissolution after notice.
Do I have to name a registered agent when I first form my Missouri LLC, or can I add one later?
You have to name one upfront. RSMo § 347.039(3) requires the articles of organization to state the registered office address and the registered agent's name before the Secretary of State will file them — it cannot be left blank and added afterward.
What is the difference between my registered office and my principal place of business?
Your registered office is specifically where your registered agent accepts legal mail and must match the agent's own business office under RSMo § 347.030.1; your principal place of business is wherever you actually run the company and doesn't have to be in Missouri at all.
Can a UPS Store or other commercial mail-receiving service be my Missouri registered office address?
No. RSMo §§ 347.030 and 347.039 require an actual business office address, including street and number, matching the registered agent's own office — a commercial mail-receiving service or mailbox rental does not meet that standard.
Is my registered agent's phone number or email made public in Missouri?
No. Missouri's articles of organization and registered agent filings require only the agent's name and street address; no phone number or email address is collected or published.
Do Missouri nonprofit corporations have to confirm their registered agent on a periodic report?
Yes. Unlike LLCs, Missouri corporations — including nonprofits — file a corporate registration report with the Secretary of State by August 31 each year (a $15 fee applies if filed late), and it must list the corporation's current registered agent and registered office under RSMo § 355.856.
Can my registered agent also be an officer or manager of my Missouri company?
Yes. Nothing in RSMo § 347.030 prevents an owner, manager or officer from also serving as the entity's registered agent, as long as the business-office and availability requirements are met.
Does Missouri require registered agents to be licensed, bonded, or registered as commercial agents with the state?
No. Missouri has no separate licensing, bonding or commercial-registered-agent listing requirement — an agent only has to meet the residency (or Missouri authorization) and matching business-office rules in RSMo § 347.030.1.
Can I serve as my own registered agent if I live out of state but own property in Missouri?
No. RSMo § 347.030.1 requires the registered office to be the same address as the registered agent's own business office; owning Missouri real estate without an actual Missouri business office there does not meet that requirement.
Does my registered agent have authority to sign contracts or make decisions for my LLC?
No. RSMo § 347.033 limits the registered agent's statutory role to receiving service of process and notices on the company's behalf; it gives the agent no authority to sign contracts or otherwise act for the entity.
Can the same Missouri address serve as both my registered office and my principal place of business?
Yes. Nothing in RSMo § 347.030 requires the two to be different — a small business commonly uses one Missouri street address for both, as long as it meets the registered office's business-office and availability rule.

Registered office
The Missouri address, including street and number, where the registered agent can be reached during normal business hours; a bare P.O. box does not qualify.

Statement of Change of Registered Agent or Registered Office
Corp. 59, filed with the Missouri Secretary of State for $10 to update an entity's registered agent, registered office, or both.
Successor agent's consent
The written consent a newly named registered agent must give when an entity files a change of agent, required by RSMo § 347.030.3; Missouri does not require this for an LLC's initial agent.
Service of process
The formal delivery of legal documents, such as a lawsuit summons, to an entity through its registered agent, treated as lawful personal service under RSMo § 347.033.
Secretary of State as default agent

Annual report (not required for LLCs)
A recurring filing that updates an entity's officers and registered agent; Missouri requires this only of corporations under Chapter 351, not of limited liability companies.
Additional statutory fee
A $5 surcharge the Secretary of State may add to each Chapter 347 filing fee under RSMo § 347.740, already reflected in the state's published fee schedule.
Foreign qualification
Registering an LLC formed in another state, using Form LLC-4, so it can legally do business in Missouri; it requires naming a Missouri registered agent and costs $105.
