Anyone who serves as registered agent for 10 or more entities must file a statement with the Secretary of State listing their legal name, Nevada business address and authorized-representative contact information, and certifying they have not been convicted of a disqualifying felony or enjoined for agent-related fraud, under NRS 77.320.

Does a Nevada nonprofit corporation need a registered agent?

Yes. Nevada nonprofits, governed by NRS Chapter 82, follow the same registered agent requirements as ordinary corporations under NRS 78.090 and 78.097, by cross-reference in NRS 82.193, and pay a $50 annual list fee instead of the for-profit fee schedule.

Does a Nevada limited partnership need a registered agent?

Can my attorney serve as my Nevada registered agent?

Yes. An attorney is eligible under the same general rules as any individual or entity with a qualifying Nevada address, under NRS 77.140 and NRS 77.305 — Nevada has no separate rule barring or specially authorizing attorneys.

Do I have to name my registered agent when I form my LLC, or can I add one later?

You have to name one upfront. The Articles of Organization, required under NRS 86.161, must include the registered agent information required by NRS 77.310 before the Secretary of State will file it.

What is the difference between my registered office and my principal place of business?

Your registered office is specifically where your registered agent accepts legal mail and must be an actual Nevada street address under NRS 77.300; nothing in NRS 86.161 requires your principal place of business to be in Nevada at all.

Can a UPS Store or other commercial mail-receiving service be my registered office address?

Not reliably. NRS 77.300 requires an actual street address or rural route box and bars P.O. boxes, and a commercial mail-receiving service's mailbox address raises the same problem.

Is my registered agent's phone number or email made public in Nevada?

No. Nevada's public filings call for only your registered agent's name and Nevada address; a phone number or email is not a required or published field.

Can my registered agent also be an officer, member or manager of my company?

Yes. Nevada law even lets an entity name "the holder of a position" — such as an officer or manager — as its registered agent, rather than a specific individual by name, under the title-of-office method referenced in NRS 77.200.

Can I serve as my own registered agent if I live out of state but own property in Nevada?

Yes, as long as that property gives you an actual Nevada street address where you can be served. Nevada, unlike some states, has no requirement that an individual registered agent personally reside in Nevada — only that the registered office itself be a qualifying Nevada address under NRS 77.300.

Does my registered agent have authority to sign contracts or make decisions for my LLC?

No. NRS 77.390 defines a registered agent as "an agent of the represented entity authorized to receive service of any process, notice or demand required or permitted by law to be served on the entity" — nothing more.

Can the same Nevada address serve as both my registered office and my principal place of business?

Yes. Nothing in NRS 86.161 or NRS 77.300 requires the two to be different addresses.

What happens if mail sent to my Nevada registered agent's address is returned as undeliverable?

Service on your registered agent is legally effective under NRS 77.390 and 77.400 regardless of whether it is actually received, which is exactly why an unreachable agent is risky — it can leave you unaware of a lawsuit, and failing to maintain a valid agent at all puts your entity at risk of forfeiture under NRS 86.272–86.274.

What does it cost for a commercial registered agent to resign from representing many Nevada entities at once?

NRS 77.280 sets a bulk resignation fee of $100 for the first entity plus $1 for each additional entity the agent represents, on top of filing the resignation itself under NRS 77.370.

Does Nevada's Annual List or State Business License filing require relisting my registered agent?

No. The Annual List of Managers or Members under NRS 86.263 asks only for the company's name, file number and manager or member names and addresses, and the State Business License under NRS 76.100 ($200, or $500 for certain corporations) does not ask for registered agent information either.

Is there a penalty for an outdated registered agent beyond forfeiture of my Nevada entity's charter?

Not really. NRS 86.272 adds a $75 default penalty on top of unpaid fees once an entity falls out of compliance, and if it isn't fixed, NRS 86.274 revokes the entity's charter — there's no separate standalone fine just for an outdated agent.

Is there a residency requirement to serve as an individual's Nevada registered agent?

No. Nevada only requires a qualifying Nevada business address under NRS 77.300 — not that the individual actually live in Nevada. A separate, voluntary listing under NRS 77.305 does use the word "residing," but that's an optional registry, not the baseline qualification to be named as an entity's agent.

Does reinstating a forfeited Nevada LLC require a current registered agent?

Yes. Reinstatement under NRS 86.276 requires filing all delinquent annual lists, any required NRS 86.264 statements, current registered agent information under NRS 77.310, a sworn declaration, and a $300 reinstatement fee; an entity forfeited for five or more consecutive years cannot be reinstated at all.

Because Nevada's public filings don't require listing LLC members by name at all — only managers or managing members appear on the Articles of Organization and Annual List under NRS 86.161 and NRS 86.263 — so the registered agent's Nevada address is often the only public-facing contact point tied to the entity.
