Comprehensive 10-Step Guide to Hire a Registered Agent in New Jersey
From checking the requirement to renewing every year, in the order you will do them.
Step 1 — Confirm you need a New Jersey registered agent
Every New Jersey LLC, corporation and limited partnership must designate and continuously maintain a registered agent and registered office under N.J.S.A. 42:2C-14. The agent is named on your Certificate of Formation and stays on the state's public record.
Step 2 — Decide between being your own agent or hiring a service
You can serve as your own agent if you are a New Jersey resident with a street address in the state; most owners hire a service instead to keep that address off the public record and never miss a delivery.
Step 3 — Check the registered office address rule
The registered office must be maintained in New Jersey, and the Certificate of Formation calls for a street address listed separately from any mailing address, so a stand-alone P.O. box does not satisfy N.J.S.A. 42:2C-18.
Step 4 — Choose a New Jersey registered agent service
Compare the annual price, whether mail is scanned the same day it arrives, and whether the state's $25 change filing fee is included before you sign up.
Step 5 — Sign up and provide your entity details
Give your legal entity name, entity type and New Jersey business entity ID number, if you already have one, so the agent can be listed correctly.
Step 6 — List your registered agent on your Certificate of Formation
A new LLC names its initial registered agent and registered office directly on the Certificate of Formation, filed online with the Division of Revenue and Enterprise Services for a $100 fee, under N.J.S.A. 42:2C-18.
Step 7 — Complete your NJ-REG business registration
After your Certificate of Formation is filed and you have obtained an EIN, register separately for state taxes and employer purposes on Form NJ-REG so the Division of Revenue and Enterprise Services can issue your Business Registration Certificate.
Step 8 — File a Certificate of Change if you already have an entity
Existing LLCs switch agents by filing the Certificate of Change of Registered Agent, Registered Office, or Both with the Division of Revenue and Enterprise Services for a $25 fee, under N.J.S.A. 42:2C-15.
Step 9 — Confirm the change on the public record
Use the Division of Revenue and Enterprise Services' business entity name search, or order a Certificate of Good Standing, to confirm your new registered agent is listed before your next Annual Report is due.
Step 10 — Keep your registered agent active every year
New Jersey can revoke an LLC's certificate that goes two consecutive years without a valid registered agent or a filed Annual Report, after written notice, under N.J.S.A. 14A:4-5, so renew your agent service before it lapses.

Legal Requirements for a New Jersey Registered Agent
What New Jersey law requires of every registered agent, with the rule and the agency that enforces it.
A New Jersey street address
Every New Jersey LLC's registered office must be maintained in this state under N.J.S.A. 42:2C-14, and the Certificate of Formation calls for a street address listed separately from any mailing address, so a stand-alone P.O. box does not qualify.
Who can serve as your agent
Under N.J.S.A. 42:2C-14(a), the agent must be either an individual who resides in New Jersey or a domestic or foreign entity with authority to transact business in New Jersey. An LLC cannot act as its own registered agent.
No separate written consent form
Unlike some states, New Jersey's LLC Act does not require the agent to file a separate written consent before appointment; naming the agent on the Certificate of Formation, under N.J.S.A. 42:2C-18, is what puts them of record.
Accepting legal notices at the registered office
N.J.S.A. 42:2C-14 makes the registered agent the LLC's point of contact for service of process and official state notices delivered to the registered office.
Reporting a change of agent
A change in registered agent or registered office is reported on the Certificate of Change of Registered Agent, Registered Office, or Both, filed with the Division of Revenue and Enterprise Services for a $25 fee, under N.J.S.A. 42:2C-15.
Maintaining an agent at all times
If an LLC goes two consecutive years without a valid registered agent or a filed Annual Report, the state mails written notice and may revoke its certificate under N.J.S.A. 14A:4-5, after which reinstatement costs an additional $75.

New Jersey Registered Agent FAQs
Short questions, direct answers.
What is a registered agent in New Jersey?
A registered agent is the person or entity named to receive legal papers and official state mail for a New Jersey entity, at a New Jersey street address called the registered office. It is required by N.J.S.A. 42:2C-14.
Do I need a registered agent for my New Jersey LLC or corporation?
Yes. Every New Jersey LLC, corporation and limited partnership must designate and continuously maintain a registered agent under N.J.S.A. 42:2C-14, from the day it files its Certificate of Formation.
Can I be my own registered agent in New Jersey?
Yes, if you are a New Jersey resident with a street address in the state where you can accept deliveries (N.J.S.A. 42:2C-14(a)). Many owners hire a service instead to keep that address off the public record.
Can I use a P.O. box for my New Jersey registered agent address?
No. The Certificate of Formation requires a street address for the registered office, listed separately from any mailing address, under N.J.S.A. 42:2C-18, so a P.O. box alone does not qualify.
How much does a New Jersey registered agent cost?
LLC Register charges $99 a year. Commercial registered agent services generally range from about $99 to $249 a year, based on published pricing checked 9/30/2026.
How do I change my registered agent in New Jersey?
File the Certificate of Change of Registered Agent, Registered Office, or Both with the Division of Revenue and Enterprise Services for a $25 fee, under N.J.S.A. 42:2C-15. It is filed online through the Division's portal.
What happens if I don't have a registered agent in New Jersey?
The state can revoke an LLC's certificate that goes two consecutive years without a valid registered agent or a filed Annual Report, after written notice by certified mail, under N.J.S.A. 14A:4-5; reinstatement then costs an additional $75.
Does my registered agent need to consent in writing?
No. Unlike some states, New Jersey's LLC Act does not require a separate written consent filing; naming the agent on the Certificate of Formation, under N.J.S.A. 42:2C-18, is what puts them of record.
Can a family member or friend be my New Jersey registered agent?
Yes, as long as they reside in New Jersey and have a street address there where mail can be accepted, as required under N.J.S.A. 42:2C-14.
Can an out-of-state company be my New Jersey registered agent?
Only if that company itself has authority to transact business in New Jersey and maintains a New Jersey street address; an entity without that authority cannot serve as agent under N.J.S.A. 42:2C-14(a).
How fast will I know if my registered agent receives a lawsuit?
New Jersey law makes the registered agent the entity's point of contact for service of process delivered to the registered office under N.J.S.A. 42:2C-14; LLC Register scans and emails it to you the same day we receive it.
Is my registered agent's address public record in New Jersey?
Yes. The registered agent's name and registered office address are part of the entity's public filing with the Division of Revenue and Enterprise Services and appear on the Certificate of Formation and Annual Report.
Can my registered agent resign?
Yes. A registered agent can file a statement of resignation with the Division of Revenue and Enterprise Services under N.J.S.A. 42:2C-16, which the state mails to the entity, and the agency ends on the 31st day after filing unless a replacement is named sooner.
Do I need to update my registered agent on my annual New Jersey filing?
Yes. The Annual Report, due every year by the last day of the LLC's anniversary month of formation for a $75 fee, must show your current registered agent and registered office.
Does every New Jersey entity type need a registered agent?
Yes, for every filing entity: LLCs, corporations, limited partnerships and most other entities registered with the Division of Revenue and Enterprise Services must designate one under N.J.S.A. 42:2C-14.
Does a foreign LLC formed in another state need a New Jersey registered agent to register to transact business in NJ?
Yes. A foreign LLC applies for a Certificate of Authority under N.J.S.A. 42:2C-58, and that filing — like a domestic Certificate of Formation — requires naming a New Jersey registered agent under § 42:2C-14(b), for a $100 fee through the Division of Revenue and Enterprise Services.
Does New Jersey recognize series LLCs?
No. New Jersey's LLC Act, N.J.S.A. 42:2C, has no series LLC provisions, so a New Jersey LLC can't create the separate, internally liability-shielded series available in states like Nevada or Montana.
Does New Jersey have a separate registered agent rule for professional LLCs?
No, because New Jersey doesn't have a professional LLC statute at all. A licensed professional instead organizes as a professional service corporation under the Professional Service Corporation Act, N.J.S.A. 14A:17, which follows the same registered agent rule as any other New Jersey corporation.
Does a New Jersey corporation, not an LLC, follow the same registered agent rule?
A similar but separate one. N.J.S.A. 14A:4-1 requires every corporation to continuously maintain a registered office and registered agent with a business office identical to that registered office; the agent can be a natural person 18 or older or a corporation authorized to transact business in New Jersey.
How does a New Jersey corporation change its registered agent?
By board resolution and a certificate filed under N.J.S.A. 14A:4-3 — a separate process from the Certificate of Change that an LLC files under § 42:2C-15.
Does a New Jersey nonprofit corporation need a registered agent?
Yes. N.J.S.A. 15A:4-5 requires every nonprofit corporation's annual report — filed online with the Division of Revenue and Enterprise Services for a $30 fee — to state its registered office address and the name of its registered agent, and — mirroring the for-profit rule — the state can revoke a nonprofit's certificate after two consecutive years without a valid filing.
Does a New Jersey limited partnership need a registered agent?
Yes. New Jersey's Limited Partnership Law, N.J.S.A. 42:2A, requires a Certificate of Limited Partnership under § 42:2A-14 that names the partnership's registered office and registered agent.
Does a New Jersey general partnership need a registered agent?
No. General partnerships formed under New Jersey's Uniform Partnership Act, N.J.S.A. 42:1A, have no registered-office or registered-agent requirement; a partnership only files Form NJ-REG for state tax and employer registration.
How do I look up a company's registered agent in New Jersey?
Search for a Business Status Report or Standing Certificate on njportal.com's business records tool — a different tool from the Business Entity Name Search used for name availability — to see the registered agent and registered office on file.
If I convert my New Jersey LLC into a different entity type, do I need a separate registered agent filing?
Not a separate one — it's built into the conversion filing. New Jersey's conversion forms, CD-100 (converting to a New Jersey entity) or CD-101 (converting to an out-of-state entity), are filed through the Division of Revenue and Enterprise Services and require naming the resulting entity's registered agent directly.
Can my registered agent service change its own name or address without switching to a new agent?
Yes. Under § 42:2C-15(b) and (c), a registered agent can file one statement of change updating its own name or registered-office address for every New Jersey entity it represents at once, separate from the entity-initiated change in § 42:2C-15(a).
Can one person or company serve as the registered agent for more than one New Jersey entity?
Yes. New Jersey doesn't require a "commercial registered agent" to separately register with the state, so a single resident individual or authorized business entity can be named on any number of entities' filings.
Can my attorney serve as my New Jersey registered agent?
Yes. New Jersey has no special rule for attorneys — they qualify the same way any New Jersey resident individual does, under § 42:2C-14(c).
Do I have to name my registered agent when I form my LLC, or can I add one later?
You have to name one upfront. The Certificate of Formation, under §§ 42:2C-14 and 42:2C-18, requires the registered agent's name and New Jersey street address before the state will file it.
What is the difference between my registered office and my principal business office in New Jersey?
New Jersey's annual report asks for both separately — your registered office is specifically where your registered agent is maintained, while your principal or main business office is wherever you actually run the company and does not have to be in New Jersey at all.
Can a UPS Store or other commercial mail-receiving service be my registered office address?
Not reliably. A registered agent must be reachable to personally accept service of process at the registered office, and a commercial mailbox service does not meet that standard any better than a P.O. box alone does.
Does New Jersey require an email address for my registered agent?
Yes, for state notices. New Jersey's online business filing portal requires an email address for the registered agent so the state can send compliance notices — separate from whether that email appears on a public search.
Can my registered agent also be an officer, member or manager of my company?
Yes. Nothing in § 42:2C-14 or N.J.S.A. 14A:4-1 prevents an owner, member, manager or officer from also serving as the entity's registered agent, as long as they meet the residency or authority requirement.
Does New Jersey require registered agents to be licensed or bonded?
No. New Jersey has no licensing or bonding requirement specific to registered agents — an individual just needs to be a New Jersey resident, and a company needs authority to transact business in the state.
Can I serve as my own registered agent if I live out of state but own property in New Jersey?
No. Section 42:2C-14(c) requires an individual registered agent to be a New Jersey resident; owning New Jersey property does not satisfy that requirement if you personally live elsewhere.
Does my registered agent have authority to sign contracts or make decisions for my LLC?
No. The role itself is titled "office and agent for service of process" under § 42:2C-14 — authority to sign contracts or bind the company comes from your operating agreement and management structure, not the registered agent designation.
Can the same New Jersey address serve as both my registered office and my principal office?
Yes. Section 42:2C-14(a)(1) says the registered office "need not be a place of its activity" — meaning it is allowed to be the same as your principal place of business, not required to differ.
Does New Jersey's Annual Report require confirming my registered agent every year?
Yes. Both the corporation and nonprofit annual-report statutes, N.J.S.A. 14A:4-5 and 15A:4-5, require stating the current registered agent's name, and New Jersey's online Annual Report filing includes a "Change Registered Agent/Office" option right in that same form.
What does it take to reinstate a New Jersey entity that was revoked for not maintaining a registered agent?
File the missing annual reports with a current registered agent, and pay the outstanding fees, under N.J.S.A. 14A:4-5. Entities that reinstate within two years of revocation skip the tax clearance certificate that's otherwise required; those revoked longer need one.
Does New Jersey have a Secretary of State who handles registered agent filings, like most states?
Not anymore. New Jersey's business filings, including registered agent changes, go through the Division of Revenue and Enterprise Services at the Department of the Treasury — not a Secretary of State's office, which is why searching for "New Jersey Secretary of State business search" leads to Treasury's portal instead.
