Legal Requirements for a New York Registered Agent

Under LLC Law § 301, the Secretary of State is the agent for service of process for every domestic and authorized foreign LLC in New York, automatically and without any additional filing. Every LLC must keep a current mailing or email address on file for the Secretary of State to use.

Eligibility

Who can serve as an optional registered agent

Under LLC Law § 302(a), an LLC may additionally designate a registered agent who is an individual resident of New York or with a business address in New York, or a domestic or authorized foreign LLC or corporation.

No state-filed consent form

Unlike some states, New York has no statute requiring a registered agent to sign a consent form filed with the Department of State. The appointment is made directly on the Articles of Organization or a Certificate of Change, and LLC Register documents its own acceptance in its client service agreement.

Does every New York entity type need a registered agent?

Does a foreign LLC formed in another state need to designate the Secretary of State to do business in New York?

Yes. A foreign LLC files an Application for Authority with the New York Department of State for $250, which designates the Secretary of State as its agent for service of process the same as a domestic LLC; it can also name an optional registered agent, and within 120 days it must complete New York's newspaper publication requirement.

Does New York recognize series LLCs, and does each series need its own registered agent?

New York has no statute authorizing a domestic series LLC, so the question does not arise for one formed here. A series LLC formed in another state that registers to do business in New York is treated as a single foreign LLC for filing and publication purposes, not as separate entities each needing their own agent designation.

Does a New York professional limited liability company (PLLC) need a registered agent?

A PLLC follows the same dual system as any other New York LLC: the Secretary of State is automatically its agent for service of process under LLC Law § 301, and naming an additional registered agent under § 302 is optional. A PLLC's members must also meet the licensing rules of the Education Law, separate from the agent question.

Does the address where the Secretary of State forwards my LLC's legal mail have to be in New York?

No. LLC Law § 301(e) lets an LLC designate a post office address "within or without this state" on its Biennial Statement for the Secretary of State to use, so that forwarding address can be anywhere — unlike an optional registered agent named under § 302, which does need a New York address.

Does a New York corporation need a registered agent?

No, not in the way most states require it. Business Corporation Law § 304 automatically makes the Secretary of State the agent for service of process for every domestic and authorized foreign corporation, and naming an additional registered agent under BCL § 305 is optional, mirroring the LLC rule.

Does a New York nonprofit corporation need a registered agent?

No. Not-for-Profit Corporation Law § 305 gives a nonprofit corporation the same option as a business corporation to additionally designate a registered agent, while the Secretary of State remains its default agent for service of process regardless.

Does a New York limited partnership or limited liability partnership need a registered agent?

Neither is required to name one. The Secretary of State is the mandatory statutory agent for every New York limited partnership and registered limited liability partnership under Partnership Law § 121-1505, for a $40 statutory service fee paid by whoever serves process; either type of partnership may also designate its own optional registered agent.

If I convert my partnership into a New York LLC, do I need a separate registered agent filing?

No. The Certificate of Conversion filed under LLC Law § 1006 for $200 serves as the converted entity's formation document, so it designates the Secretary of State as agent the same as a newly filed Articles of Organization — you only file a separate Certificate of Change if you also want to name or change an optional registered agent.

How do I look up a company's registered agent in New York?

Search the Department of State's Public Inquiry portal at apps.dos.ny.gov/publicInquiry by entity name, DOS ID, or officer/registered agent name; the result shows the registered agent, if one is designated, along with the address on file for the Secretary of State to forward process.

Can my registered agent service change its own name or address without switching to a new agent?

Yes. A Certificate of Change filed under LLC Law § 211-A can update just the registered agent's own name or address for $5 when the agent itself signs it, without removing or replacing the agent on file.

Can one person or company serve as the registered agent for more than one New York LLC?

Yes. A single individual or registered agent service can be named on any number of New York entities at once, as long as each appointment meets the residency or business-address eligibility rule under LLC Law § 302(a).

Are registered agent fees tax-deductible?

Yes. The IRS treats an annual registered agent fee as an ordinary and necessary business expense, deductible in the year you pay it.

Can my attorney serve as my New York registered agent?

Yes, as long as your attorney is a New York resident, or their firm has a New York business address, under the same eligibility rule in LLC Law § 302(a) that applies to anyone else.

What happens if mail the Secretary of State sends to my LLC is returned as undeliverable?

New York courts have held that mail returned marked undeliverable or unclaimed does not complete service of process, which can leave an LLC unaware a lawsuit was filed against it; keeping a current address on file with the Department of State, whether through the Secretary of State's own forwarding address or an optional registered agent, is the only way to avoid that gap.

Do I have to name an optional registered agent when I form my LLC, or can I add one later?

You can add one at any time, or never at all. Unlike states that require a registered agent to be named on the formation document, New York's Articles of Organization can designate one under LLC Law § 302, but you can just as easily file a Certificate of Change to add, change or remove one years later.

What is the difference between my registered agent's address and my principal place of business?

An optional registered agent's address under § 302 must be in New York and able to accept service, while the address the Secretary of State uses to forward process under § 301 can be anywhere in or out of the state; your principal place of business, by contrast, is simply wherever you actually run the company.

Can a UPS Store or other commercial mail-receiving service be my registered agent's address?

No. An optional registered agent designated under LLC Law § 302 needs a real New York address where a process server can reach someone in person, and a P.O. box or commercial mail-receiving service does not meet that rule — though you can still use one as a general mailing address since the Secretary of State remains your LLC's default agent regardless.

Is my registered agent's phone number or email made public?

No. New York's public filings list only a designated registered agent's name and address; no phone number or email address is required or published.

Can my registered agent also be an officer or manager of my company?

Yes. Nothing in LLC Law § 302 prevents an owner, member or manager from also serving as the LLC's optional registered agent, as long as they meet the residency or business-address requirement.

Does New York require registered agents to be licensed or bonded?

No. New York has no licensing, bonding or registration requirement specific to registered agents beyond the residency or business-address rule in LLC Law § 302(a).

Can I serve as my own optional registered agent if I live out of state but own property in New York?

No. LLC Law § 302(a) requires an individual registered agent to be a New York resident or otherwise have a business address in New York; owning New York real estate does not meet that requirement if you have no New York business address and live elsewhere.

Does my registered agent have authority to sign contracts or make decisions for my LLC?

No. A registered agent's role, whether the Secretary of State under § 301 or an optional agent under § 302, is limited to accepting and forwarding legal process and notices — it has no authority to sign contracts or act on the entity's behalf.

Can the same New York address serve as both my optional registered agent's address and my principal place of business?

Yes. Nothing requires the two to be different — a small business commonly uses one New York address for both, as long as it meets the registered agent's requirement of being able to accept service.

If I remove my optional registered agent, does my LLC lose its agent for service of process?

No. Filing a Certificate of Change under LLC Law § 211-A to remove an optional registered agent only removes that additional layer — the Secretary of State remains your LLC's agent for service of process under § 301 regardless, the same as before you ever named one.

Can a bank, insurance company or other licensed entity serve as my New York LLC's registered agent?

Yes, as long as it is a domestic or authorized foreign corporation or LLC under LLC Law § 302(a); any extra licensing it holds for its own business, such as a bank or insurance charter, does not change its eligibility to also serve as a registered agent.
