Does a Pennsylvania restricted professional company (PLLC) name its registered office differently than a regular LLC?

No. A restricted professional company uses the same Certificate of Organization (DSCB:15-8821) as any other LLC, choosing either part (a) for its own Pennsylvania street address or part (b) to name a Commercial Registered Office Provider and county of venue — not both.

What happens if I list a Commercial Registered Office Provider's name on my filing without signing a service contract with it first?

You risk civil and criminal penalties. 15 Pa.C.S. § 109 permits naming a CROP in lieu of a street address only after the entity has entered into a written contract for those services; listing a CROP you have no contract with misrepresents your registered office to the Department of State.

Do Pennsylvania nonprofit corporations have a different Annual Report deadline than LLCs?

Yes. Nonprofit corporations file their Annual Report between January 1 and June 30 each year, instead of the September 30 deadline LLCs and business corporations use, and the Department of State mails a reminder to the nonprofit's registered office at least two months beforehand — one more reason to keep that address current.

Can a process server leave lawsuit papers at my home instead of at my Pennsylvania registered office?

No. Pa.R.C.P. 402(a)(2) bars the substituted-service methods used for individuals — such as leaving papers with an adult at a residence — from being used against a corporation or similar entity; service must go to the registered office or statutory agent under 42 Pa.C.S. § 5322(a)(3).

If I convert my Pennsylvania LLC into a different entity type, do I need a separate registered office filing?

Not a separate one at first. The Statement of Conversion (DSCB:15-355), filed with a Docketing Statement for a $70 fee, requires the converted entity to state its registered office or CROP in that same filing, so a standalone Statement of Change is only needed afterward if you later switch providers.

Can one Commercial Registered Office Provider serve as the registered office for many different Pennsylvania entities at once?

Yes — that is the entire purpose of the CROP structure. 15 Pa.C.S. § 109 defines a CROP as an association "in the business of maintaining registered offices in this Commonwealth for corporations or other associations," so a single CROP routinely represents many unrelated entities.

Are registered agent or registered office fees tax-deductible?

Yes. The IRS treats an annual registered office or CROP fee as an ordinary and necessary business expense, deductible in the year you pay it.

Can my attorney serve as my Pennsylvania registered office?

Yes, as long as the attorney or law firm maintains an actual Pennsylvania street address where delivery can be accepted — the same rule that applies to anyone else serving in that role under 15 Pa.C.S. § 109.

Why does Pennsylvania say "registered office" instead of "registered agent"?

Pennsylvania's Title 15 defines the requirement as a location — a "registered office" — rather than a designated person, and lets an entity fill that location with a Commercial Registered Office Provider (CROP) instead of a street address of its own. Most other states instead name a person or company, called a "registered agent," so the underlying requirement is the same even though Pennsylvania's statute is built around an address.

What happens if mail sent to my Pennsylvania registered office is returned as undeliverable?

The Department of State relies on the registered office address on file to send required notices, including the Annual Report reminder it mails at least two months before the filing deadline; an address that can't receive that mail risks the entity missing the Annual Report and facing the same administrative-dissolution track as having no valid registered office at all.

Do I have to name my registered office on my Certificate of Organization, or can I add one later?

You have to name one upfront. The Certificate of Organization (DSCB:15-8821) requires either a Pennsylvania street address or a Commercial Registered Office Provider and county of venue before the Department of State will file it.

What is the difference between my registered office and my principal place of business?

Pennsylvania's registered office statutes say the two may be the same address but don't have to be: 15 Pa.C.S. §§ 1507 and 8825 both state that a corporation's or LLC's registered office "may, but need not, be the same as its place of business."

Can a UPS Store or other commercial mail-receiving service be my Pennsylvania registered office address?

No. The Department of State requires an actual street or rural route box address and must refuse any filing that lists only a post-office-type box; a rented mailbox at a commercial mail-receiving business does not meet that rule any more than a P.O. box does.

Is my registered office's phone number or email made public?

No. Pennsylvania's public business filings list only the registered office's name or CROP and its street address — no phone number or email address is required or published.

Can my registered office also be an officer or manager of my company?

Yes. Nothing in 15 Pa.C.S. § 109 or the entity-specific registered office statutes prevents an owner, manager or officer from also serving as the Pennsylvania street address holder, as long as the address itself meets the physical-location rule.

Does Pennsylvania require Commercial Registered Office Providers to be licensed or bonded?

No license or bond, but a CROP must file a statement of address of commercial registered office with the Department of State — naming itself, its organizational form, and its Pennsylvania address — before any entity may list it, which is how Pennsylvania vets who can act as a CROP.

Can I list property I own in Pennsylvania as my registered office if I personally live in another state?

Only if you can actually be reached there to accept delivery; Pennsylvania's registered office rule calls for a Pennsylvania street address where service can be accepted, so most out-of-state owners hire a Commercial Registered Office Provider rather than relying on a property they don't occupy.

Does my registered office or CROP have authority to sign contracts or make decisions for my LLC?
