Comprehensive 10-Step Guide to Form an Alaska LLC

From the name search to your first annual report, in the order you will do them.

  1. 01

Step 1 — Choose a compliant Alaska LLC name

Your Alaska LLC name must contain "limited liability company" or an abbreviation such as "LLC" or "L.L.C.". It must be distinguishable from every other name on record with the Division of Corporations; differences limited to punctuation, capitalization, spacing or words like "the" and "and" do not count. Check that your name is available with the free Alaska Department of Commerce, Community, and Economic Development business name search before you file.

Name reservation: for $25 with a Business Name Reservation; the reservation lasts 120 days and cannot be renewed

  2. 02

Step 2 — Select a registered agent in Alaska

Every Alaska LLC must name a registered agent to receive legal papers and state mail. Your registered agent must be either an individual Alaska resident whose business office is the registered office, or a domestic or foreign corporation authorized to transact business in Alaska. An LLC cannot be its own registered agent, only an individual or a corporation qualifies, and the agent needs both a physical address and a mailing address in the state. LLC Register's Alaska registered agent service is $99 a year and includes LLC formation and annual report filing.

Required by the Alaska Revised Limited Liability Company Act, AS 10.50

  3. 03

Step 3 — Decide how the Alaska LLC will be managed

Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.

    Member-managed or manager-managed

  4. 04

Step 4 — File the Articles of Organization with the Alaska Department of Commerce, Community, and Economic Development

Submit the Articles of Organization (Form 08-484) and pay the $250 state filing fee. You can file online through the Corporations Business Portal (myAlaska login), or hardcopy by mail or fax. Online filings post to the record immediately. Paper filings take about 10–15 business days from March through September, and often longer than 15 business days from October through February. We prepare and file it for you.

    State fee: $250

  5. 05

Step 5 — Create an LLC operating agreement

Alaska does not require an operating agreement, and you never file one with the state. Members may adopt, amend or repeal one as they choose. Ours is included and ready to sign.

    Included with LLC Register

  6. 06

Step 6 — Obtain an EIN or FTIN

Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.

Free from the IRS · Form SS-4

  7. 07

Step 7 — Open a business banking account

Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.

Bring your formation document, EIN and operating agreement

  8. 08

Step 8 — Register for Alaska taxes, permits and licenses

Alaska has no statewide sales and use tax, so there is no state sales tax permit to register for. Some Alaska municipalities and boroughs levy their own local sales taxes, so check with the city or borough where you do business. Before you hire, register with the Alaska Department of Labor and Workforce Development's Employment Security Tax section for unemployment insurance contributions. Check with your city and county for local business licenses.

Tax agency: Alaska Department of Revenue, Tax Division

  9. 09

Step 9 — Consider other LLC documents

Such as a banking resolution, a Certificate of Compliance (serves as a Certificate of Good Standing) ($10), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a Business Name Registration.

    Certificate: $10 · DBA: $25

  10. 10

Step 10 — Set reminders for annual compliance

Alaska requires the Biennial Report every two years. It is due before January 2 every two years, in even-numbered years if your LLC was formed in an even-numbered year, or odd-numbered years if it was formed in an odd-numbered year. The first one is due by January 2 of the first year that matches your LLC's formation-year parity, after you file the free Initial Report in your formation year. We track the deadline and file it on time while your agent service is active.

    State fee: $100 · Biennial

Legal Requirements to Start an Alaska LLC

What Alaska law requires of every LLC, with the rule and the agency that enforces it.

Name

A distinguishable LLC name

Your Alaska LLC name must contain "limited liability company" or an abbreviation such as "LLC" or "L.L.C.". It must be distinguishable from every other name on record with the Division of Corporations; differences limited to punctuation, capitalization, spacing or words like "the" and "and" do not count. Search the name for free with the Alaska business name search before you file. You can reserve a name for $25 with a Business Name Reservation; the reservation lasts 120 days and cannot be renewed. The rules come from the Alaska Revised Limited Liability Company Act, AS 10.50.

Agent

An Alaska registered agent

Every Alaska LLC must appoint and keep a registered agent in Alaska. To change agents, file the Statement of Change (Change of Registered Agent), Form 08-409 ($25). LLC Register's Alaska registered agent service is $99 a year and includes LLC formation and annual report filing.

Filing

The Articles of Organization

Your LLC exists once the Alaska Department of Commerce, Community, and Economic Development accepts your Articles of Organization (Form 08-484) and the $250 filing fee. You can file online through the Corporations Business Portal (myAlaska login), or hardcopy by mail or fax. Online filings post to the record immediately. Paper filings take about 10–15 business days from March through September, and often longer than 15 business days from October through February.

Governance

An operating agreement

Alaska does not require an operating agreement, and you never file one with the state. Members may adopt, amend or repeal one as they choose. Even where it is optional, a written operating agreement sets ownership, voting, profit splits and what happens when a member leaves, and banks often ask for one.

Compliance

Biennial Report

Alaska requires every LLC to file the Biennial Report every two years for $100. A Biennial Report postmarked on or after February 2 costs $137.50 instead of $100. An LLC that stays delinquent for six months can be involuntarily dissolved by the state after written notice.

Tax

State taxes and licenses

Alaska has no franchise or privilege tax on LLCs. Its corporate income tax applies only if the LLC elects to be taxed as a corporation. Alaska has no personal income tax, so a default pass-through LLC's profits are not taxed again at the state level on the members' returns. A multi-member LLC must still file an Alaska partnership return if any member is not a natural person, and an LLC taxed as a C corporation pays the state corporate income tax. Alaska has no statewide sales and use tax, so there is no state sales tax permit to register for. Some Alaska municipalities and boroughs levy their own local sales taxes, so check with the city or borough where you do business. See the Alaska Department of Revenue, Tax Division for registrations.

LLC vs sole proprietorship in Alaska: which is better?

A sole proprietorship costs nothing to start, but you are personally liable for the business's debts. An Alaska LLC costs $250 to form and protects your personal assets, with the same pass-through taxes by default.

Should I form my LLC in Delaware or Wyoming instead of Alaska?

Usually not if your business operates in Alaska. An out-of-state LLC doing business here must also register as a foreign LLC in Alaska for $350 and keep an Alaska registered agent, so you pay two states' fees.

Does LLC Register charge a separate fee to form an Alaska LLC?

No. Formation is included in the $99-a-year Alaska registered agent service. The state still charges its $250 filing fee, which we pass through at cost.

Yes, you should. Mixing business and personal money can weaken the liability protection your LLC gives you. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
