Comprehensive 10-Step Guide to Form a Kansas LLC
From the name search to your first annual report, in the order you will do them.
Step 1 — Choose a compliant Kansas LLC name
Your Kansas LLC name must include a word or abbreviation of formation: "limited liability company," "limited company," "LLC," "LC," "L.L.C." or "L.C." It must be distinguishable from other names on file with the Secretary of State, though you can still use a name that is in use if the existing business consents in writing. Check that your name is available with the free Kansas Secretary of State business name search before you file.
Name reservation: for $35 with Form NR; the reservation lasts 120 days and cannot be renewed
Step 2 — Select a registered agent in Kansas
Every Kansas LLC must name a registered agent to receive legal papers and state mail. Kansas calls this a resident agent. It can be an individual, a business already registered in Kansas, or the LLC itself, but it must keep a Kansas street address, a rural route or highway is fine, a PO box is not, where it is regularly present to accept legal papers. LLC Register's Kansas registered agent service is $99 a year and includes LLC formation and annual report filing.
Required by the Kansas Revised Limited Liability Company Act, K.S.A. 17-7663 et seq. (Chapter 17, Article 76)
Step 3 — Decide how the Kansas LLC will be managed
Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.
Member-managed or manager-managed
Step 4 — File the Articles of Organization with the Kansas Secretary of State
Submit the Articles of Organization (Form DL) and pay the $85 state filing fee. You can file online through the Kansas Secretary of State's Business Filing Center, or by mail with the paper Articles of Organization (Form DL). Online filings are processed within minutes. The Secretary of State publishes no turnaround time for mailed paper filings. We prepare and file it for you.
State fee: $85
Step 5 — Create an LLC operating agreement
Kansas does not require an operating agreement, and you never file one with the state. Kansas law recognizes written, oral and implied agreements, even for a single-member LLC. Ours is included and ready to sign.
Included with LLC Register
Step 6 — Obtain an EIN or FTIN
Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.
Free from the IRS · Form SS-4
Step 7 — Open a business banking account
Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
Bring your formation document, EIN and operating agreement
Step 8 — Register for Kansas taxes, permits and licenses
If you sell taxable goods or services, register for a Retailers' Sales Tax account with the Kansas Department of Revenue using the Business Tax Application (Form CR-16); there is no fee to register. Before you hire, register with the Kansas Department of Labor for an unemployment insurance account and with the Kansas Department of Revenue for withholding tax through the Form CR-16 process. Check with your city and county for local business licenses.

Step 9 — Consider other LLC documents
Such as a banking resolution, a Certificate of Good Standing ($15), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a trade name registration.
Certificate: $15 · DBA: $0
Step 10 — Set reminders for annual compliance
Kansas requires the Information Report (Form ILC) every two years. It is due by April 15 every other year, odd-numbered years for LLCs formed in an odd year, even-numbered years for LLCs formed in an even year. The first one is due by April 15 of the next year that matches your formation year's odd/even parity. We track the deadline and file it on time while your agent service is active.

Legal Requirements to Start a Kansas LLC
What Kansas law requires of every LLC, with the rule and the agency that enforces it.
A distinguishable LLC name
Your Kansas LLC name must include a word or abbreviation of formation: "limited liability company," "limited company," "LLC," "LC," "L.L.C." or "L.C." The rules come from the Kansas Revised Limited Liability Company Act, K.S.A. 17-7663 et seq. (Chapter 17, Article 76).
A Kansas registered agent
Every Kansas LLC must appoint and keep a registered agent in Kansas. Kansas calls this a resident agent. It can be an individual, a business already registered in Kansas, or the LLC itself, but it must keep a Kansas street address, a rural route or highway is fine, a PO box is not, where it is regularly present to accept legal papers.
