Annual report
A recurring filing that keeps your LLC in good standing with the state. In Mississippi it is the Mississippi LLC Annual Report (Form F0108), due by April 15 every year.
Articles of Organization
The document filed with the state to create an LLC. Some states call it a Certificate of Formation; in Mississippi it is the Certificate of Formation.
Assumed name (DBA)
A trade name your LLC uses instead of its legal name. In Mississippi you file a Fictitious Business Name Registration (Form F0070).
Banking resolution
A document authorizing who may open and run the LLC's bank accounts.
Certificate of good standing
Proof from the state that your LLC exists and is current on its filings and fees. In Mississippi it is the Certificate of Good Standing / Certificate of Existence.
Dissolution
Formally closing an LLC with the state. In Mississippi you file the Certificate of Dissolution (Form F0103).
EIN
Employer Identification Number: the nine-digit federal tax ID the IRS issues to a business.
Foreign qualification
Registering an LLC formed in another state so it can do business in Mississippi, through the Application for Registration of Foreign Limited Liability Company (Form F0200).
Franchise tax
A state tax some states charge for the privilege of doing business there. LLCs classified as partnerships or disregarded entities do not pay Mississippi's franchise tax; only an LLC taxed as a corporation files as one for franchise tax. The tax itself is being phased out and is repealed entirely effective January 1, 2028.
Limited liability
The legal protection that keeps the owners' personal assets separate from the LLC's debts and lawsuits.
Manager-managed LLC
An LLC run by appointed managers rather than by all of its members.
Member
An owner of an LLC. An LLC can have one member or many, and members can be people or companies.
Member-managed LLC
An LLC run directly by its owners, the members.
