Comprehensive 10-Step Guide to Form a Missouri LLC
From the name search to your first annual report, in the order you will do them.
Step 1 — Choose a compliant Missouri LLC name
Your Missouri LLC name must include "Limited Liability Company," "Limited Company" or an abbreviation such as "LLC," "L.L.C.," "LC" or "L.C.". It must be distinguishable from every other business name on file with the Secretary of State and cannot imply the company is a government agency. Check that your name is available with the free Missouri Secretary of State business name search before you file.
Name reservation: for $25 with Form BE-1; the reservation lasts 60 days and can be renewed back-to-back, but the same name cannot stay reserved for more than 180 days total
Step 2 — Select a registered agent in Missouri
Every Missouri LLC must name a registered agent to receive legal papers and state mail. Your registered agent must be a Missouri resident individual, or a company authorized to do business in Missouri, with a physical Missouri street address that matches the LLC's registered office. A PO box works only alongside a street address, never by itself. LLC Register's Missouri registered agent service is $99 a year and includes LLC formation and annual report filing.
Required by the Missouri Limited Liability Company Act, Chapter 347, RSMo
Step 3 — Decide how the Missouri LLC will be managed
Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.
Member-managed or manager-managed
Step 4 — File the Articles of Organization with the Missouri Secretary of State
Submit the Articles of Organization (Form LLC-1) and pay the $50 state filing fee. You can file online through Missouri Business Filings, or on paper by mail (paper costs $105 instead of $50). Most online filings are processed immediately after submission, according to the Secretary of State. Paper filings take longer. We prepare and file it for you.
State fee: $50
Step 5 — Create an LLC operating agreement
Missouri does not require an LLC to adopt or file an operating agreement; the Articles of Organization only ask for management structure, duration and purpose. Ours is included and ready to sign.
Included with LLC Register
Step 6 — Obtain an EIN or FTIN
Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.
Free from the IRS · Form SS-4
Step 7 — Open a business banking account
Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
Bring your formation document, EIN and operating agreement
Step 8 — Register for Missouri taxes, permits and licenses
If you sell taxable goods or services, register for a Sales/Use Tax license with the Missouri Department of Revenue through the MyTax Missouri portal. Before you hire, register for a Missouri unemployment insurance tax account with the Division of Employment Security through UInteract, and register for income tax withholding with the Department of Revenue. Check with your city and county for local business licenses.
Tax agency: Missouri Department of Revenue
Step 9 — Consider other LLC documents
Such as a banking resolution, a Certificate of Good Standing ($10), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a Fictitious Name Registration (Form Corp. 56, Creation, Renewal, Correction and Amendment of Fictitious Name).
Certificate: $10 · DBA: $7
Step 10 — Set reminders for ongoing compliance
Missouri does not require LLCs to file an annual report. Missouri has no franchise or privilege tax on LLCs, and LLCs owe no annual state tax or annual report fee just for existing. Missouri's old corporate franchise tax was repealed for tax years beginning on or after January 1, 2016. Keep your registered agent and business records current, and we will keep you informed of any state requirement.
No annual report required

Legal Requirements to Start a Missouri LLC
What Missouri law requires of every LLC, with the rule and the agency that enforces it.
A distinguishable LLC name
Your Missouri LLC name must include "Limited Liability Company," "Limited Company" or an abbreviation such as "LLC," "L.L.C.," "LC" or "L.C.". It must be distinguishable from every other business name on file with the Secretary of State and cannot imply the company is a government agency. Search the name for free with the Missouri business name search before you file. You can reserve a name for $25 with Form BE-1; the reservation lasts 60 days and can be renewed back-to-back, but the same name cannot stay reserved for more than 180 days total. The rules come from the Missouri Limited Liability Company Act, Chapter 347, RSMo.
A Missouri registered agent
Every Missouri LLC must appoint and keep a registered agent in Missouri. Your registered agent must be a Missouri resident individual, or a company authorized to do business in Missouri, with a physical Missouri street address that matches the LLC's registered office. A PO box works only alongside a street address, never by itself. To change agents, file the Corp. 59 Statement of Change of Registered Agent or Registered Office ($10). LLC Register's Missouri registered agent service is $99 a year and includes LLC formation and annual report filing.
The Articles of Organization
Your LLC exists once the Missouri Secretary of State accepts your Articles of Organization (Form LLC-1) and the $50 filing fee. You can file online through Missouri Business Filings, or on paper by mail (paper costs $105 instead of $50). Most online filings are processed immediately after submission, according to the Secretary of State. Paper filings take longer.
An operating agreement
Missouri does not require an LLC to adopt or file an operating agreement; the Articles of Organization only ask for management structure, duration and purpose. Even where it is optional, a written operating agreement sets ownership, voting, profit splits and what happens when a member leaves, and banks often ask for one.
Ongoing state compliance
Missouri does not require LLCs to file an annual report. You still need to keep a registered agent, report changes to the state and meet your tax filings.
State taxes and licenses
Missouri has no franchise or privilege tax on LLCs, and LLCs owe no annual state tax or annual report fee just for existing. Missouri's old corporate franchise tax was repealed for tax years beginning on or after January 1, 2016. Missouri taxes an LLC the same way the IRS does. A multi-member LLC files an informational Missouri Partnership Return (Form MO-1065), and its profits pass through to the members' Missouri individual income tax returns; a single-member LLC's profits go straight on the owner's Missouri return. If you sell taxable goods or services, register for a Sales/Use Tax license with the Missouri Department of Revenue through the MyTax Missouri portal. See the Missouri Department of Revenue for registrations.
