Comprehensive 10-Step Guide to Form a Nevada LLC
From the name search to your first annual report, in the order you will do them.
Step 1 — Choose a compliant Nevada LLC name
Your Nevada LLC name must contain "Limited-Liability Company," "Limited Company" or "Limited," or an abbreviation such as "LLC," "L.L.C." or "LC." It must be distinguishable from every other name on file with the Secretary of State. Check that your name is available with the free Nevada Secretary of State business name search before you file.
Name reservation: for $25; the reservation lasts 90 days
Step 2 — Select a registered agent in Nevada
Every Nevada LLC must name a registered agent to receive legal papers and state mail. Your registered agent must keep a physical Nevada street address for service of process, a PO box is not enough, and can be a commercial registered agent or a qualifying individual or entity. LLC Register's Nevada registered agent service is $99 a year and includes LLC formation and annual report filing.
Required by the Nevada Revised Statutes Chapter 86, Limited-Liability Companies
Step 3 — Decide how the Nevada LLC will be managed
Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.
Member-managed or manager-managed
Step 4 — File the Articles of Organization with the Nevada Secretary of State
Submit the Articles of Organization and pay the $75 state filing fee. You can file online through SilverFlume, Nevada's Business Portal, or by mail with the paper Articles of Organization. Standard online processing takes about 1–2 business days. Expedited filing is available for $125 extra (24-hour service), with faster tiers available for a higher fee. We prepare and file it for you.
State fee: $75 · File online: SilverFlume, Nevada's Business Portal
Step 5 — Create an LLC operating agreement
Nevada does not require an operating agreement, and you never file one with the state. Nevada law recognizes a written or oral agreement among the members. Ours is included and ready to sign.
Included with LLC Register
Step 6 — Obtain an EIN or FTIN
Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.
Free from the IRS · Form SS-4
Step 7 — Open a business banking account
Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
Bring your formation document, EIN and operating agreement
Step 8 — Register for Nevada taxes, permits and licenses
If you sell taxable goods, register for a Sales and Use Tax Permit with the Nevada Department of Taxation for a one-time $15 fee per business location; there is no renewal fee. Before you hire, register with the Nevada Department of Employment, Training and Rehabilitation (DETR) for an unemployment insurance account; Nevada has no state withholding tax to register for. Check with your city and county for local business licenses.

Step 9 — Consider other LLC documents
Such as a banking resolution, a Certificate of Good Standing ($50), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a Fictitious Firm Name (FFN) certificate.
Certificate: $50 · DBA: $0
Step 10 — Set reminders for annual compliance
Nevada requires the Annual List of Managers or Managing Members every year. It is due by the last day of your LLC's anniversary month every year, alongside the State Business License renewal. The first one is due by the last day of your anniversary month in the calendar year after your LLC is formed. We track the deadline and file it on time while your agent service is active.

What Nevada law requires of every LLC, with the rule and the agency that enforces it.

You can reserve a name for $25; the reservation lasts 90 days. The rules come from the Nevada Revised Statutes Chapter 86, Limited-Liability Companies.
A Nevada registered agent
Every Nevada LLC must appoint and keep a registered agent in Nevada. Your registered agent must keep a physical Nevada street address for service of process, a PO box is not enough, and can be a commercial registered agent or a qualifying individual or entity. An operating agreement

It is due by the last day of your LLC's anniversary month every year, alongside the State Business License renewal. State taxes and licenses
Nevada's Commerce Tax applies only once your Nevada gross revenue exceeds $4,000,000 in a fiscal year; below that, you owe nothing and are not required to file. Above it, the tax rate depends on your industry. Nevada has no state individual or corporate income tax, so LLC profits are never taxed at the state level, regardless of how the IRS classifies the LLC. If you sell taxable goods, register for a Sales and Use Tax Permit with the Nevada Department of Taxation for a one-time $15 fee per business location; there is no renewal fee. See the Nevada Department of Taxation for registrations.
