Employer Identification Number: the nine-digit federal tax ID the IRS issues to a business.
Foreign qualification
Registering an LLC formed in another state so it can do business in New Jersey, through the Certificate of Registration for a foreign LLC.
Franchise tax
A state tax some states charge for the privilege of doing business there. New Jersey has no flat franchise tax on LLCs. A multi-member LLC taxed as a partnership with more than two owners pays a $150-per-owner Partnership Filing Fee, capped at $250,000, plus half that amount again as a prepayment toward next year's fee. LLCs with one or two owners are not subject to it.
Limited liability
The legal protection that keeps the owners' personal assets separate from the LLC's debts and lawsuits.
Manager-managed LLC
An LLC run by appointed managers rather than by all of its members.
Member
An owner of an LLC. An LLC can have one member or many, and members can be people or companies.
Member-managed LLC
An LLC run directly by its owners, the members.

Pass-through taxation
The default federal tax treatment of an LLC: profits pass to the owners' personal returns instead of being taxed at the company level.
Professional LLC (PLLC)
An LLC for licensed professionals such as doctors, lawyers or accountants. Available in New Jersey.
Registered agent
The person or company with a physical New Jersey address named to receive legal papers and state mail for the LLC.
S corporation election
A federal tax election, made on IRS Form 2553, that lets an eligible LLC be taxed as an S corporation.
Series LLC
An LLC divided into separate series, each with its own assets and liabilities. Not provided for in New Jersey law.
Single-member LLC
An LLC with one owner. By default the IRS taxes it like a sole proprietorship.
