Comprehensive 10-Step Guide to Form a New York LLC

From the name search to your first annual report, in the order you will do them.

  1. 01

Step 1 — Choose a compliant New York LLC name

Your New York LLC name must include "Limited Liability Company", "LLC" or "L.L.C." and be distinguishable from other LLCs, corporations and limited partnerships on file. Some words are restricted or need another state agency's approval. Check that your name is available with the free New York Department of State business name search before you file.

Name reservation: for $20; the reservation lasts 60 days and can be extended twice, 60 days each time, for $20 per extension

  2. 02

Step 2 — Select a registered agent in New York

New York makes the Secretary of State every LLC's agent for service of process, so you only give an address where the state will mail legal papers. Naming a separate registered agent with a New York street address is optional. A registered agent service gives you a reliable in-state address for legal mail. LLC Register's New York registered agent service is $99 a year and includes LLC formation and annual report filing.

    Registered office required; agent optional

  3. 03

Step 3 — Decide how the New York LLC will be managed

Member-managed LLCs are run by their owners; manager-managed LLCs appoint managers to run the business. You choose the structure when you file the Articles of Organization and set the details in your operating agreement.

    Member-managed or manager-managed

  4. 04

Step 4 — File the Articles of Organization with the New York Department of State

Submit the Articles of Organization (Form DOS-1336-f) and pay the $200 state filing fee. You can file online through the Department of State Online Filing System, or by mail, fax or in person with Form DOS-1336-f. Paper filings take about 7 business days, according to NY Business Express. Online filers get an emailed filing receipt right away. Expedited filing is available for $25 extra (within 24 hours), $75 extra (same day) or $150 extra (within 2 hours). We prepare and file it for you.

State fee: $200 · File online: Department of State Online Filing System

  5. 05

Step 5 — Create an LLC operating agreement

Yes. New York law (LLC Law §417) requires a written operating agreement, adopted before, when or within 90 days after you file the Articles of Organization. You keep it with your records and do not file it with the state. Ours is included and ready to sign.

    Included with LLC Register

  6. 06

Step 6 — Obtain an EIN or FTIN

Get your federal Employer Identification Number from the IRS. It is free, and applying online gives you the number right away. You need it to hire employees, open a business bank account and file federal taxes; owners without a Social Security number apply with Form SS-4.

Free from the IRS · Form SS-4

  7. 07

Step 7 — Open a business banking account

Keep business and personal money apart to protect your limited liability. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.

Bring your formation document, EIN and operating agreement

  8. 08

Step 8 — Register for New York taxes, permits and licenses

If you sell taxable goods or services, apply for a Sales Tax Certificate of Authority with the Department of Taxation and Finance through New York Business Express at least 20 days before you start selling. Before you hire, file Form NYS-100 with the New York State Department of Labor to register for unemployment insurance, withholding and wage reporting. Check with your city and county for local business licenses.

  9. 09

Step 9 — Consider other LLC documents

Within 120 days of formation, you must publish a notice of your LLC once a week for six weeks in two newspapers chosen by your county clerk, then file a Certificate of Publication with the Department of State for $50. If you don't, your LLC's authority to do business is suspended. Such as a banking resolution, a Certificate of Status ($25), or foreign qualification if you operate in other states. If you use a brand name other than your LLC's legal name, file a Certificate of Assumed Name.

    Certificate: $25 · DBA: $25

  10. 10

Step 10 — Set reminders for annual compliance

New York requires the Biennial Statement every two years. It is due every two years, during the calendar month in which your Articles of Organization were filed. The first one is due in the anniversary month of your filing, two years after the LLC is formed. We track the deadline and file it on time while your agent service is active.

Yes, you should. Mixing business and personal money can weaken the liability protection your LLC gives you. Banks usually ask for your filed Articles of Organization, your EIN and your operating agreement.
